We are looking for an experienced Compliance Manager to lead and manage statutory, corporate, financial and regulatory compliance across our global entities. The role requires close coordination with finance, legal, auditors, tax consultants, company secretaries, banks, investors, and management to ensure timely compliance with applicable laws across multiple jurisdictions.

The ideal candidate will have hands-on experience managing compliance for multinational group structures with subsidiaries in India and overseas, and will be comfortable operating independently across

time zones and regulatory regimes.

Group Structure

The candidate should have exposure to compliance across the following entities:

- Singapore Holding Company
- Singapore Operating Company
- India Subsidiary
- USA Entity
- Indonesia Entity
- Vietnam Entity
- Bangladesh Entity

Key Responsibilities

1. Corporate Compliance

- Ensure end-to-end compliance with the Companies Act, 2013 and allied rules for the India entity, and equivalent corporate laws for overseas entities.
- Track and ensure timely filing of annual returns, financial statements, and other statutory forms(ROC/MCA filings).
- Maintain good standing of all group entities with respective regulators of incorporation.

2. Secretarial Compliance

- Convene and manage Board Meetings, Committee Meetings, and General Meetings, including notices,agendas, and minutes.
- Maintain and update statutory registers, minute books, and other secretarial records across entities.
- Draft and manage board and shareholder resolutions and ensure timely execution of approvals.

3. FEMA & RBI Compliance

- Manage FEMA compliance including FDI/ODI reporting, FC-GPR, FC-TRS, FLA returns, and ECB reporting as applicable.
- Liaise with RBI, Authorised Dealer banks, and consultants for approvals, filings, and clarifications.




- Monitor regulatory changes under FEMA and RBI and assess impact on the group structure.

4. Intercompany Compliance

- Draft, execute, and track intercompany agreements (management services, cost-sharing, licensing,loans, etc.).
- Coordinate with tax consultants on transfer pricing documentation and intercompany transaction compliance.
- Maintain a central repository of intercompany arrangements across all entities.

5. International Entity Compliance

- Coordinate statutory and regulatory compliance for overseas entities in Singapore, USA, Indonesia,Vietnam, and Bangladesh through local counsel/consultants.
- Track jurisdiction-specific filing calendars, licensing requirements, and renewal timelines.
- Ensure consistency in governance practices across the Singapore Holding Company, Singapore Operating Company, and India Subsidiary.

6. Audit Compliance

- Coordinate statutory, internal, and secretarial audits across entities.
- Ensure timely closure of audit observations and maintain an audit tracker.
- Act as the primary point of contact for auditors on compliance-related matters.

7. Contract Compliance

- Review contracts for compliance risk and ensure adherence to internal approval matrices.
- Maintain a contract repository and track key dates, renewals, and obligations.

8. Banking Compliance

- Ensure timely completion of bank KYC renewals, account opening/closure formalities, and signatory updates.
- Coordinate compliance related to banking facilities, guarantees,



and related regulatory filings.

9. Compliance Calendar

- Maintain and continuously update a master compliance calendar covering all statutory, regulatory, and internal due dates across jurisdictions.
- Send timely alerts and escalations to relevant stakeholders ahead of due dates.

10. Risk Management

- Identify, assess, and monitor compliance and regulatory risks across the group.
- Recommend and implement mitigation measures and escalate high-risk items to management.

11. Policy Management

- Draft, review, and update internal compliance policies and SOPs in line with regulatory requirements.
- Drive awareness and training on compliance policies across the organisation.

12. Vendor Compliance

- Ensure vendor onboarding and contracts meet compliance and documentation standards.
- Monitor vendor-related statutory obligations (e.g., TDS, GST, labour law compliance) where applicable.

What This Role Will Additionally Build: The Global Compliance Control Tower

Given the complexity of the organisation, this role will also be responsible for establishing and maintaining

a Global Compliance Control Tower, comprising:

- A live compliance dashboard across all entities.
- A master legal entity register.
- A board and shareholder approval tracker.
- A litigation and notice tracker.
- A licensing and renewal tracker.
- A bank mandate and signatory tracker.
- A contract repository with automated renewal alerts.
- A FEMA and RBI reporting dashboard.
- A statutory due-date calendar with automated escalations.
- A regulatory change log to monitor current compliance requirements across all jurisdictions.

This elevates the role from a traditional compliance function into a strategic governance function suited to a multinational group like BrightChamps.
