KEY PURPOSE OF THE JOB (Position Summary):
Ensure the company complies with legal and regulatory requirements and follows best practice, by advising the board on their responsibilities, and helping to develop corporate governance policies and procedures. Ensure compliance with relevant laws, regulations,



and corporate policies and updating the board and management teams on any legal developments that may impact the company. Assist in convening the statutory meetings, arranging meeting agendas, Circular Resolutions, minutes and supporting papers throughout. Manage communications with shareholders, including shareholder and other general meetings, to help facilitate the exercise of shareholders' rights. Filing of legal and regulatory documents under Company Law, Listing Regulations and FEMA, including preparation and filing of annual XBLR filings, FC-GPR, FC-TRS, ODI, DI, FLA, preparation of Directors Report and other documents as required annual reports and financial statements. Assist in promoting ethical practices within the company, to ensure compliance with codes of conduct and anti-corruption policies.
