About the Role

Cautio is looking for a proactive and business-oriented Legal Manager to manage the company's corporate legal, commercial contracts, compliance, and risk management requirements.

The ideal candidate should have 4–6 years of hands-on corporate law experience, preferably in an in-house legal team or a reputed law firm, with strong exposure to contract drafting, negotiation, corporate compliance, employment laws, legal advisory, and dispute management.

The role will work closely with Management, Finance, HR, Sales, Operations, and other business teams to ensure that Cautio's business activities are legally compliant and adequately protected from legal and contractual risks.

Key Responsibilities1. Corporate & Commercial Legal

- Provide day-to-day legal advice to Management and internal business teams on corporate, commercial, operational, and contractual matters.
- Draft, review, negotiate, and finalize various commercial and corporate agreements.
- Review customer agreements, vendor agreements, service agreements, partnership agreements, NDAs, MoUs, consultancy agreements, employment agreements, and other business contracts.
- Identify contractual risks and recommend practical solutions that protect Cautio's interests.
- Develop and maintain standard legal templates, clauses, agreements, and contract playbooks.
- Manage the complete contract lifecycle, including drafting, negotiation, execution, renewals, amendments, and closures.

2. Corporate Compliance & Governance

- Ensure compliance with applicable corporate and regulatory laws.
- Coordinate with the Company Secretary, statutory advisors, and external legal counsel for corporate compliance requirements.
- Support compliance under the Companies Act, 2013, applicable labour laws, and other relevant regulations.
- Assist with preparation of board resolutions, legal notices, declarations, and corporate documentation.
- Maintain and monitor legal and compliance trackers to ensure timely completion of statutory requirements.
- Keep Management updated on important changes in laws and regulations affecting the business.

3. Employment & Labour Law

- Provide legal support to HR on employment agreements,



consultant agreements, disciplinary matters, employee disputes, and HR policies.
- Review employment-related documentation and policies from a legal perspective.
- Advise on applicable labour and employment laws, including PF, ESI, Shops & Establishments, Contract Labour, POSH, Payment of Gratuity, and other applicable requirements.
- Support HR in handling employee-related legal notices or disputes.

4. Legal Risk Management

- Identify potential legal and regulatory risks across business functions.
- Conduct periodic legal risk reviews and recommend preventive measures.
- Establish appropriate legal processes, policies, and controls to reduce business exposure.
- Ensure that contracts and business processes adequately address liability, indemnity, confidentiality, termination, intellectual property, dispute resolution, and other key risks.

5. Litigation & Dispute Management

- Coordinate with external advocates and legal counsel on litigation, arbitration, notices, and disputes.
- Review and assist in drafting responses to legal notices and claims.
- Maintain proper records of ongoing legal matters and track important deadlines.
- Provide regular updates to Management on significant legal disputes and potential risks.

6. Data Privacy, Technology & IP

- Provide legal support on technology-related agreements and business arrangements.
- Review confidentiality, data protection, intellectual property, software, technology, and information-security related clauses.
- Support compliance with applicable data privacy and technology laws, including the Digital Personal Data Protection framework.
- Assist in protecting and managing the company's intellectual property, trademarks, copyrights, and proprietary information.

7. Business & Stakeholder Support

- Work closely with Sales, Finance, HR, Operations, Procurement, and Management to provide timely legal support.
- Participate in commercial negotiations and provide legal inputs during business discussions.




- Balance legal risk with business requirements and provide practical, commercially viable recommendations.
- Coordinate effectively with external lawyers, consultants, government authorities, and other legal professionals.

Required Qualifications & Experience

- LLB / LLM from a recognized university – Mandatory.
- 4–6 years of relevant corporate legal experience.
- Experience in corporate law, commercial contracts, legal compliance, and contract negotiations.
- Strong experience in drafting and reviewing commercial agreements.
- Prior experience in an in-house legal function or corporate law firm is preferred.
- Experience in a technology, SaaS, mobility, automotive, logistics, or startup environment will be an advantage.
- Experience handling external legal counsel and legal disputes is preferred.

Pay: ₹800,000.00 - ₹1,100,000.00 per year
