Role Overview
We are looking for a qualified and experienced Company Secretary with strong listed-company experience to manage corporate secretarial functions, statutory compliance, corporate governance and regulatory matters.
The candidate will work closely with the Board of Directors, senior management, auditors, legal advisors, regulators and other key stakeholders and will be responsible for ensuring high standards of corporate governance and regulatory compliance.
Role & responsibilities
Corporate Secretarial & Governance
- Ensure compliance with the Companies Act, 2013 and applicable rules and regulations.
- Manage MCA/ROC filings, statutory registers and corporate records.
- Prepare notices, agendas, resolutions and minutes for Board and Committee meetings.
- Coordinate Board Meetings, General Meetings and Committee Meetings.
- Ensure timely completion of statutory and regulatory compliances.
- Maintain accurate records of Board decisions, shareholder matters and corporate actions.
Listed Company Compliance Mandatory
- Manage compliance requirements applicable to listed companies, including SEBI regulations and SEBI (LODR) requirements.
- Coordinate with stock exchanges, SEBI, Registrar & Transfer Agent (RTA), merchant bankers and other regulatory/professional advisors.
- Handle timely submission of stock-exchange disclosures and regulatory filings.
- Support corporate announcements, disclosures and other listed-company compliance requirements.
- Coordinate shareholder/investor-related corporate actions and regulatory processes.
- Ensure compliance with applicable requirements relating to related-party transactions, corporate governance, disclosures and other listed-company obligations.
Board & Shareholder Management
- Provide secretarial support and advisory to the Board and Board Committees.
- Advise Directors and senior management on corporate governance and regulatory requirements.
- Coordinate Annual General Meetings, Extraordinary General Meetings and postal ballots, where applicable.
- Manage shareholder resolutions, notices and related statutory documentation.
Corporate Actions & Transactions
- Support fund raising, preferential issues, rights issues, bonus issues, buybacks and other corporate actions, as applicable.
- Provide secretarial support for M&A;, mergers, acquisitions, demergers, restructuring and strategic investments.
- Coordinate with legal counsel, merchant bankers, auditors and other advisors on corporate transactions.
- Support due diligence and preparation of corporate documentation.
Preferred candidate profile
- Qualified Company Secretary (ACS/FCS) from the Institute of Company Secretaries of India.
- 8-10 years of relevant post-qualification experience.
- Mandatory: Proven experience working as a Company Secretary / senior secretarial professional in a listed company.
- Strong practical knowledge of the Companies Act, SEBI regulations and LODR requirements.
- Hands-on experience with stock exchange compliances and disclosures.
- Experience managing Board/Committee meetings and shareholder processes independently.
- Strong experience in MCA/ROC filings and statutory compliance.
- Excellent drafting, communication and stakeholder-management skills.
- Strong ability to work directly with senior management and Board members.
- High level of integrity, discretion, ownership and attention to detail.
Candidates must have hands-on experience in a listed-company setting.
Profiles with experience limited to private/unlisted companies, CA/CS firms or compliance consultancy without direct listed-company secretarial responsibility will not be considered.
