Role Summary The Assistant Manager CS and Legal will independently manage all Company Secretarial activities and statutory compliance for every entity across the Group. The legal component is a support role, with the individual assisting the Legal and business teams primarily on agreements. The role will be split approximately 50 -50 between CS ownership and legal support.
Key Responsibilities:Company Secretarial & Compliance Group wide
- Independently owning end to end Company Secretarial activities and compliance for all Group entities under the Companies Act, 2013, applicable rules and Secretarial Standards
- Managing Board, committee and shareholder meetings, including notices, agendas, resolutions, minutes and action tracking
- Maintaining compliance calendars, statutory registers, minute books and corporate records, and completing annual and event-based MCA or ROC filings
- Managing corporate actions relating to directors/KMP, share capital, allotments/transfers, registered offices and other approvals and documentation
- Coordinating with management, auditors, practising professionals and authorities, and supporting secretarial audits, due diligence and governance reporting
Legal Support Agreements
- Assisting the Legal and business teams with drafting, reviewing, negotiating and finalising commercial, vendor, customer, service, employment, consultancy, NDA,
licensing and inter-company agreements
- Supporting contract lifecycle management, including templates, approvals, execution, repository, renewals, amendments and obligation tracking
- Identifying and escalating risks in agreements, suggesting practical mitigation, and assisting with contract interpretation, notices and agreement-related issues
- Agreement tracker preparation and updation
Qualifications and Experience
- Qualified Company Secretary (CS) - Preferred
- LL.B. or Law Graduate - Mandatory
- Atleast 4 years of relevant experience, including independently managing CS compliance for group or multiple entities and supporting commercial agreements
- Prior in-house group experience preferred; law firm or practising CS experience with relevant corporate exposure acceptable
Key Skills
- Solid knowledge of the Companies Act, 2013, MCA/ROC filings, Board processes, Secretarial Standards, and corporate governance
- Strong agreement drafting, review, negotiation, and contract management skills
- Ability to independently manage CS work across multiple Group entities while effectively supporting the Legal and business teams
- Excellent communication and stakeholder management, with strong organisation, attention to detail, and a commercially pragmatic approach
