Role Summary The Assistant Manager –

- Debt Syndication (Execution &
- Lender Management) will be responsible for supporting the execution of debt financing transactions and managing relationships with banks, NBFCs, private credit funds, Alternative Investment Funds (AIFs), and other lending institutions.

The role requires strong transaction management capabilities, lender coordination skills, financial analysis expertise, and the ability to drive debt syndication mandates from mandate signing through financial closure. The candidate will work closely with origination teams, clients, lenders, credit teams, legal advisors, and internal stakeholders to ensure seamless transaction execution.

The ideal candidate should possess a strong understanding of debt products, credit evaluation, corporate finance, and financing structures, along with the ability to manage multiple transactions simultaneously in a rapid-paced investment banking environment.

Key Responsibilities

Transaction Execution &

- Debt Syndication

Support end-to-end execution of debt syndication and structured finance transactions across corporate, SME, and promoter-led businesses.

Coordinate transaction processes from mandate acquisition to sanction and disbursement.

Prepare and manage lender outreach strategies, financing discussions, and transaction timelines.

Assist in structuring financing solutions in consultation with internal teams and lending partners.

Track deal milestones and ensure timely progression through various approval stages.

Support refinancing, restructuring, growth capital, acquisition financing, project finance, and structured debt transactions.

Drive transaction closure by coordinating among borrowers, lenders, legal advisors, and other stakeholders.

Lender Relationship Management

Build And Maintain Strong Working Relationships With

- Banks
- NBFCs
- Housing Finance Companies
- Private Credit Funds
- Alternative Investment Funds (AIFs)
- Family Offices
- Institutional Lending Platforms

Develop a deep understanding of lender appetite, sector preferences, pricing benchmarks, and credit requirements. Coordinate lender interactions including preliminary discussions, credit meetings, management presentations, and term-sheet negotiations.

Maintain an updated lender database and track lending trends across sectors and products.

Act as a key interface between clients and lenders throughout the transaction lifecycle.





Financial Analysis &

- Credit Evaluation

Review financial statements, business models, and funding requirements of clients.

Analyze Key Credit Metrics Including

- EBITDA
- Debt Service Coverage Ratio (DSCR)
- Interest Coverage Ratio (ICR)
- Leverage Ratios
- Working Capital Metrics
- Cash Flow Analysis

Assist in assessing transaction feasibility and identifying suitable financing structures. Support preparation of financial models, debt sizing exercises, repayment structures, and sensitivity analyses.

Evaluate lender feedback and recommend execution strategies.

Information Memorandum &

- Documentation

Assist In Preparing And Reviewing

- Information Memorandums (IMs)

- Transaction Summaries

Coordinate collection and verification of client information, financial documents, and due diligence requirements. Work closely with legal and compliance teams for documentation, sanction letters, and transaction closure.

Ensure accuracy, completeness, and quality of all transaction-related materials.

Stakeholder Coordination &

- Deal Management

Manage communication among clients, lenders, legal advisors, auditors, valuers, and internal teams.

Monitor transaction timelines and proactively identify execution bottlenecks.

Ensure timely submission of information requested by lenders.

Track sanctions, approvals, conditions precedent (CPs), and disbursement milestones.

Provide regular updates to senior management regarding transaction status and execution risks.

Support smooth onboarding and post-closure relationship management.

Market Intelligence &

- Industry Research

Track Developments In

- Debt Capital Markets
- Corporate Lending
- Private Credit
- Structured Finance
- AIF and Alternative Lending Ecosystems

Monitor lender pricing trends, sector exposure limits, and regulatory developments. Develop market intelligence reports to support transaction execution and lender engagement.

Identify new lending institutions and financing avenues relevant to client requirements.

Educational Qualifications

Mandatory

- Bachelor’s Degree in Finance, Commerce, Economics, Accounting, Business Administration, or related discipline.

Preferred

- MBA / PGDM in Finance.
- CA, CFA (Level I/II/III), FRM, or equivalent professional qualification.
- Certification in Financial Modeling, Credit Analysis, or Corporate Finance.

Preferred Industry Background Candidates with experience in any of the following sectors will be preferred:

- 2–6 years of experience in debt syndication, corporate banking, credit underwriting, structured finance, transaction execution, or lender relationship management.
- Experience in executing debt transactions and coordinating with multiple lending institutions.
- Strong understanding of corporate financial statements and credit evaluation.
- Exposure to working capital finance, term loans, project finance, structured debt, or refinancing transactions.
- Proven ability to manage transaction processes and stakeholder coordination.
- Strong analytical and execution skills with attention to detail.
- Self-motivated professional capable of independently managing transaction workstreams.
