Job Title: Company Secretary
Location: Bangalore
Experience: 3–6 Years
Working Days: 5 days a week
Shift Timings: 9:30 AM to 6:00 PM
Qualification: Qualified Company Secretary (CS) & LL.B.
Role Overview
We are looking for a qualified Company Secretary with an LL.B. to join our team. The ideal candidate will have strong experience in corporate secretarial practices, regulatory compliance, and legal documentation, preferably within an NBFC or financial services environment.
Key Responsibilities
1. Secretarial & Corporate Governance
- Organize and manage Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, notices, minutes, resolutions, and compliance checklists.
- Ensure timely e-filing of statutory forms and returns with the ROC and RBI.
- Maintain statutory registers, records, and other corporate documents in accordance with the Companies Act, 2013 and applicable RBI guidelines.
- Handle compliances related to the issuance, transfer, and dematerialization of securities.
- Support alteration of charter documents and compliances related to the appointment/reappointment of Directors and KMPs.
- Manage other event-based and routine corporate secretarial compliances
2. Legal & Regulatory Compliance
- Assist in drafting, reviewing, and executing facility and financing documents for credit facilities extended to borrowers and received from lenders.
- Ensure end-to-end execution and maintenance of legal documentation using IT-enabled tools and systems.
- Coordinate with regulators, auditors, legal counsel, RTAs, bankers, and external service providers on compliance and governance matters.
- Conduct legal and regulatory research and circulate relevant legal/informational notes to internal stakeholders.
- Support legal audits and ensure the safe custody and maintenance of legal documents, both physical and digital.
3. RBI & NBFC Compliance
- Monitor and ensure compliance with RBI regulations applicable to NBFCs.
- Assist in the preparation and submission of periodic reports, statements, and returns to the RBI.
- Track changes in RBI regulations and other applicable regulatory frameworks.
- Support management and internal stakeholders with updates and guidance on relevant regulatory changes.
Key Requirements
- Qualified Company Secretary (CS) and LL.B.
- 3–6 years of relevant experience in corporate secretarial, legal, and regulatory compliance roles.
- Prior experience in an NBFC, financial institution, banking, or financial services organization will be preferred.
- Strong understanding of the Companies Act, 2013, RBI regulations, and NBFC regulatory framework.
- Excellent legal drafting, documentation, proofreading, and communication skills.
- Ability to understand and interpret legal and financial documents.
- Strong stakeholder management and coordination skills.
- High level of attention to detail, integrity, confidentiality, and ownership.
- Ability to work effectively in a fast-paced setting and manage multiple priorities.
Preferred Candidate Profile
A candidate with strong hands-on exposure to corporate secretarial compliance, RBI/NBFC regulations, legal documentation, and corporate governance, along with excellent drafting and stakeholder-management skills, would be ideal for this role.
