DGM / AGM - Commercial Contract (Coal Trading)

About the Role: We are seeking an experienced Commercial Contract skilled to lead and manage the end-to-end commercial function for Adani's Coal Trading Business. The role will be responsible for ensuring seamless execution of domestic and international coal trading transactions, including contract management, trade finance, Letter of Credit (LC) operations, shipment execution, documentation, customer and supplier settlements, commercial risk management, and regulatory compliance..

Key Responsibilities

1. Contract Management & Commercial Risk Management

- Lead drafting, reviewing, negotiating, and execution of coal procurement and sales contracts.
- Evaluate contractual terms relating to pricing, product specifications, payment terms, delivery schedules, penalties, and force majeure clauses.
- Identify, assess, and mitigate commercial, contractual, legal, and operational risks.
- Ensure compliance with international trade regulations, Incoterms, and company contract governance standards.
- Manage contract amendments, deviations, claims, disputes, arbitration matters, and contract closures.
- Collaborate closely with Legal, Marketing, Operations, Logistics, and Finance teams for effective contract administration.

2. Trade Finance & Letter of Credit Management

- Manage end-to-end Domestic and International Letter of Credit (LC) operations including opening, amendments, negotiation, and closure.
- Ensure timely receipt of customer LCs and issuance of supplier LCs in accordance with contractual obligations.
- Review LC clauses and documentation in line with UCP 600, ISBP guidelines, banking regulations, and Commercial Contracts .
- Drive trade finance activities including LC discounting, bill negotiations, collections, and financing arrangements.
- Coordinate with banks for LC confirmations,



reimbursements, settlements, and trade finance structuring.
- Monitor and administer Bank Guarantees, Performance Guarantees, Standby Letters of Credit, and other banking instruments.
- Resolve discrepancies in trade documentation to ensure timely realization of funds and minimize commercial exposure.

3. Documentation & Shipment Execution

- Oversee preparation, verification, and control of all import/export and trade-related documentation.
- Ensure compliance with shipping, banking, customs, and contractual documentation requirements.
- Facilitate timely document presentation for payment realization and cargo release.
- Coordinate shipment execution activities with logistics providers, customs authorities, shipping lines, and operational teams.
- Monitor trade execution milestones to ensure smooth and timely delivery of cargo.

4. Stakeholder & Relationship Management

- Build and maintain strong relationships with customers, suppliers, banks, financial institutions, shipping partners, and external agencies.
- Act as the key commercial interface for resolving transaction-related issues and ensuring business continuity.
- Collaborate with internal stakeholders to ensure smooth execution of commercial transactions.

5. Team Leadership & Process Excellence

- Lead and mentor cross-functional commercial teams.
- Build a high-performance culture through coaching, capability development, and continuous improvement initiatives.
- Establish MIS dashboards and reporting mechanisms for business performance tracking and decision-making.

Educational Qualifications

- Bachelors degree in any disciple
- MBA / PGDM in Finance, Operations, International Business, or preferred equivalent.

Experience & Competencies

- 12-15 years of experience in Coal Trading, Commodity Trading, Mining, Energy, Metals, Bulk Cargo, or related industries.
- Proven track record in managing large-value domestic and international trading transactions.
- Strong exposure to commercial operations, contract management, trade finance, LC operations, documentation, logistics, and regulatory compliance.
