Job Purpose:
This is a high-impact role requiring a proactive qualified who can independently manage statutory obligations, ensure robust compliance systems, and interface confidently with regulators and stakeholders.
Principal Accountabilities:
Ensure end-to-end compliance under the Companies Act, 2013 and all RBI regulations applicable to PPI entities.
- Independently manage filings, disclosures, and returns with ROC, RBI, and other regulatory authorities in a timely and accurate manner.
- Keep abreast of evolving laws and proactively advise the Board and senior management on necessary updates to maintain compliance.
- Organize and facilitate Board meetings and Board committee meetings - including preparation of notices, agendas, minutes, and tracking follow-up actions.
- Maintain statutory registers, records, and all other documentation as mandated under applicable laws.
- Design and implement internal governance policies, compliance checklists, and reporting mechanisms.
- Act as the primary point of contact with regulatory bodies, auditors, shareholders, and legal counsel.
- Partner with internal functions such as Ops, Finance, Legal, and Risk to ensure an integrated approach to compliance and governance.
Qualifications and Experience:
- Mandatory: Member of the Institute of Company Secretaries of India (ICSI)
- Preferred: Bachelor’s degree in law or commerce
- 6-10 years of post-qualification experience in corporate secretarial and governance roles, preferably in fintech, NBFCs, banking, or financial services
- Experience with PPI, Payment Inst, RBI regulated entities, and RBI governance frameworks is a significant advantage
