Position: Head - Corporate Finance & Investor Relations
Reporting to: Chief Financial Officer
Grade: Senior leadership (CFO-minus-one, with board and promoter-level visibility)
Location: Pune (Corporate Office). Mumbai and other-city candidates welcome if relocating with family; full relocation support provided.
The Mandate The role puts the inorganic agenda and the investor-facing narrative into one senior seat in the CFO's office. The individual who owns this seat decides how the company's growth story is built through transactions and explained to analysts and institutional investors.
It is a small, high-leverage desk requiring end-to-end ownership. This person runs transactions, sits in the room where structure is decided, prepares and accompanies the CFO and MD in front of investors, and is accountable for market perception.
Responsibilities
Corporate Finance & Corporate Development
- Own the inorganic agenda end to end: M&A;, private equity, demerger, divestment, restructuring, joint ventures, and strategic investments.
- Set the target screening framework and maintain a live pipeline across lending, housing finance, insurance, broking, asset management, and fintech.
- Lead valuation and structuring (DCF, comparables, precedent transactions, SOTP, accretion/dilution) and recommend transaction routes (scheme of arrangement, share swap, slump sale, business transfer, asset purchase, primary/secondary).
- Negotiate commercial terms and lead the review of term sheets, SPA/SSA, shareholders' agreements, BTAs, and schemes alongside external counsel.
- Direct diligence across financial, legal, tax, business, and regulatory workstreams; select and manage investment banks, law firms, Big 4 advisors, and valuers.
- Own the regulatory pathway across RBI, SEBI, NCLT, CCI, and stock exchanges.
- Present transactions to the CFO, MD, investment committee,
and board; track post-deal integration and synergy delivery.
Investor Relations
- Own the full quarterly earnings cycle: investor presentation, press release, financial supplement, guidance framing, and consensus bridges.
- Prepare and support the CFO and MD for earnings calls, answering direct questions as required.
- Manage relationships with sell-side analysts covering the stock: model reviews, data integrity, coverage initiation, and post-results feedback.
- Lead institutional investor engagement: FII/DII one-on-ones, roadshows, domestic and international conferences, and perception studies.
- Track shareholding pattern movement, build investor targeting strategy, and report investor sentiment to leadership.
- Oversee SEBI LODR compliance, exchange filings, MD&A;, and business sections of the annual report in coordination with the Company Secretary.
- Support rating agency engagements (CRISIL, ICRA, CARE, India Ratings) and ESG/BRSR disclosures.
- Build the investor narrative around every announced transaction, focusing on rationale, financial impact, integration, and synergy messaging.
Leadership
- Build and lead a high-calibre team across corporate finance and IR.
- Act as a trusted second voice to the CFO on capital structure, fundraise strategy, and shareholder matters.
- Represent the company externally with discipline and consistency.
Candidate Profile
- Experience: 13 to 20 years post-qualification,
with a minimum of 8 years specifically in corporate finance, M&A;, or investor relations.
- Qualification: CA, MBA Finance from a Tier 1 institute, or CFA (combinations preferred).
Acceptable Backgrounds
- Head or senior lead of corporate development/finance at a listed BFSI company (NBFC, bank, HFC, insurer, AMC, or group) with transactional and IR/board-facing exposure.
- Head of Investor Relations at a listed BFSI company where the role carried financial ownership and strategic/fundraise responsibility.
- Executive Director / Senior VP in investment banking (FIG/BFSI coverage) with a closed India BFSI deal sheet.
- Senior sell-side equity research lead covering financials (Head of Financials or top-ranked analyst) with 10+ years covering the sector.
- Partner or Director in Big 4 lead advisory/corporate finance with a strong BFSI transaction record.
Must-Have Requirements
- Verifiable deal sheet: 3+ transactions led or co-led with individual accountability (or for IR profiles, ownership of the earnings cycle across a minimum of 12 quarters).
- Deep BFSI domain command: valuation, regulation, reporting, and stress-testing across lending, insurance, and capital markets.
- Board-grade written and verbal communication skills.
- Practical command of Companies Act, SEBI LODR, RBI/NBFC frameworks, and scheme-of-arrangement mechanics.
