Relationship Manager –

- Execution

Role Summary The Relationship Manager will be responsible for managing client relationships during the execution and closure of debt financing transactions. The role will act as a critical link between clients, lenders, credit teams, legal advisors, and internal transaction teams to ensure that financing mandates progress smoothly from initial mandate through sanction, documentation, and disbursement.

The candidate will work closely with corporate clients, promoters, CFOs, banks, NBFCs, private credit funds, AIFs, and other financial institutions to coordinate transaction requirements, manage information flow, resolve execution issues, and ensure timely closure of transactions.

The ideal candidate should combine strong relationship management, transaction execution, financial analysis, coordination, and problem-solving skills, with the ability to manage multiple live transactions simultaneously.

Key Responsibilities

Transaction Execution &

- Closure

- Manage end-to-end execution of debt financing transactions after mandate acquisition.
- Coordinate transactions from initial lender engagement through sanction, documentation, and disbursement.
- Develop and maintain detailed transaction timelines and execution trackers.
- Monitor key transaction milestones and ensure timely completion of deliverables.
- Coordinate with clients and lenders to obtain required information, documents, approvals, and clarifications.
- Proactively identify execution bottlenecks and work with relevant stakeholders to resolve them.
- Ensure transactions progress smoothly through credit appraisal, sanction, documentation, and disbursement stages.
- Maintain regular transaction updates for senior management.

Client Relationship Management

- Act as the primary relationship point for clients during transaction execution.
- Maintain regular communication with promoters, CFOs, finance teams, and other client representatives.
- Understand client priorities, concerns, timelines, and transaction expectations.
- Ensure timely communication of lender requirements and transaction updates to clients.
- Manage client expectations regarding credit processes, documentation, timelines, and conditions precedent.
- Build strong relationships with clients to support repeat transactions and future financing requirements.
- Maintain a high level of professionalism and responsiveness throughout the transaction lifecycle.

Lender Coordination &

- Management

- Coordinate with banks, NBFCs, private credit funds, AIFs, family offices, and other lending institutions.
- Understand lender-specific requirements, credit processes, documentation standards, and approval timelines.
- Coordinate lender discussions, management meetings, credit calls, and information requirements.
- Track lender queries and ensure timely responses from clients and internal teams.
- Follow up with lenders regarding credit appraisal, sanction status, documentation, and disbursement.
- Compare and track lender terms, conditions, pricing, security requirements, and other commercial considerations.
- Maintain strong working relationships with lender teams to facilitate efficient transaction execution.

Credit &

- Financial Analysis Support

- Review client financial statements, management information, business plans, and existing debt details.
- Develop an understanding of the client's financial position and financing requirement.




- Analyze key credit parameters including:
- Revenue and EBITDA
- Debt and Leverage
- DSCR
- Interest Coverage Ratio
- Working Capital
- Cash Flows
- Existing Debt Obligations
- Security / Collateral

- Support preparation and review of financial models, debt sizing, repayment schedules, and sensitivity analysis.
- Assist in identifying potential credit concerns and preparing responses to lender queries.
- Coordinate with internal credit teams to ensure accurate and complete submission of transaction information.

Documentation &

- Conditions Precedent

- Coordinate collection and submission of documents required for sanction and disbursement.
- Track sanction conditions and Conditions Precedent (CPs).
- Coordinate with clients, lenders, legal advisors, auditors, valuers, company secretaries, and other professionals.
- Monitor completion of:
- KYC Documentation
- Financial Documents
- Legal Due Diligence
- Valuation Reports
- Security Creation
- Corporate Approvals
- Legal Agreements
- Charge Creation
- Other CP Requirements

- Maintain a detailed checklist of pending documentation and follow up with stakeholders for closure.
- Ensure all documentation requirements are completed accurately and within agreed timelines.

- Coordinate with clients to validate information before submission to lenders.

Stakeholder Management

- Coordinate across multiple stakeholders throughout the transaction lifecycle.
- Work closely with:
- Clients / Borrowers
- Promoters
- CFOs / Finance Teams
- Banks
- NBFCs
- Private Credit Funds
- AIFs
- Legal Advisors
- Auditors
- Valuers
- Internal Credit Teams
- Senior Management

- Ensure clear communication, timely follow-ups, and proper documentation of all transaction-related activities.
- Escalate critical issues to senior management with proposed solutions.

Post-Sanction &

- Disbursement Management

- Track transactions from sanction to final disbursement.
- Coordinate fulfilment of sanction conditions and CPs.
- Ensure timely completion of documentation and security creation requirements.
- Coordinate with lenders and clients to resolve last-mile execution issues.
- Track disbursement schedules and ensure funds are released as per agreed timelines.
- Maintain transaction records and closure documentation.
- Support post-closure relationship management and identify opportunities for additional financing.

Educational Qualifications

- Bachelor's Degree in Finance, Commerce, Economics, Accounting, Business Administration, or a related discipline.

Preferred

- MBA / PGDM in Finance.
- CA / CFA / FRM or equivalent professional qualification.
- Certification in Financial Modelling, Credit Analysis, or Corporate Finance.

- Experience managing corporate borrower relationships during financing transactions.
- Exposure to coordinating with multiple lenders and financial institutions.
- Strong understanding of debt financing documentation and execution processes.
- Ability to understand financial statements and respond to lender credit requirements.
- Proven ability to manage transaction timelines and multiple stakeholders.
- Strong follow-up and closure-oriented mindset.
- Comfortable interacting with promoters, CFOs, senior bankers, lawyers, auditors, and other professional stakeholders.
- Highly organized, detail-oriented, and capable of working in a fast-paced investment banking environment.

Role Objective The primary objective of the Relationship Manager is to ensure that every debt financing mandate moves efficiently from mandate to sanction, documentation, and disbursement. The candidate will serve as the central relationship and execution interface between the client and lending ecosystem, taking ownership of information flow, stakeholder coordination, lender requirements, documentation, problem resolution, and transaction closure.
