Role Overview

We are looking for a seasoned Private Equity professional with 12+ years of experience across Private Equity, Investment Banking, M&A;, Growth Equity, Venture Capital or a related investment platform.

The individual will play a senior leadership role in the Private Equity business, with primary responsibility for investment origination, relationship management, investment evaluation, transaction execution and portfolio value creation.

The role requires a strong track record of sourcing and executing transactions, deep sector understanding, strong promoter and CXO relationships, commercial judgement and the ability to independently lead transactions from origination to closure.

Key Responsibilities

- Deal Origination & Business Development

- Lead origination of high-quality investment opportunities across sectors and transaction sizes.
- Develop and maintain strong relationships with promoters, business owners, CXOs, institutional investors, family offices, PE/VC funds and intermediaries.
- Build a sustainable pipeline of proprietary and intermediary-led opportunities.
- Identify emerging sectors, investment themes and companies with high growth potential.
- Leverage existing relationships and market network to generate differentiated investment opportunities.
- Represent the Private Equity platform with promoters, investors and external stakeholders.
- Drive repeat business and develop long-term relationships with key clients and stakeholders.

2. Investment Strategy & Evaluation
- Lead evaluation of new investment opportunities and determine strategic fit with the firm's investment mandate.
- Develop comprehensive investment theses based on business quality, market opportunity, competitive positioning, management capability and value creation potential.
- Evaluate financial performance, growth prospects, capital requirements and potential exit opportunities.
- Assess transaction structures, entry valuations, leverage and expected investment returns.
- Present investment recommendations and key risks to the Investment Committee and senior management.

3. Transaction Leadership & Execution
- Lead transactions from initial engagement through due diligence, negotiation, documentation and closure.
- Take ownership of transaction strategy, valuation, structuring and negotiation.
- Oversee financial, commercial, legal, tax and operational due diligence.
- Work closely with promoters, management teams, advisors, lenders and other transaction stakeholders.
- Lead negotiations around valuation,



transaction structure, governance, rights and other key commercial terms.
- Ensure transaction execution within agreed timelines and return parameters.
- Manage multiple transactions simultaneously while maintaining high execution standards.

4. Financial Modelling & Valuation
- Review and oversee detailed financial models and investment analyses.
- Evaluate DCF, comparable company, precedent transaction and LBO analyses.
- Assess IRR, MOIC, cash-on-cash returns and overall risk-adjusted investment returns.
- Conduct scenario and sensitivity analyses around key investment assumptions.
- Evaluate optimal capital structures, leverage and financing alternatives.
- Independently challenge assumptions and ensure robust investment underwriting.

5. Investment Committee & Senior Management
- Prepare and lead presentations to the Investment Committee and senior management.
- Articulate investment thesis, transaction rationale, valuation, downside risks and potential returns.
- Provide clear recommendations on investment decisions, transaction structures and exit strategies.
- Participate in strategic discussions regarding the growth and direction of the Private Equity business.
- Contribute to development of investment strategy, sector focus and portfolio construction.

6. Portfolio Management & Value Creation
- Take active oversight of portfolio companies and work closely with management teams.
- Monitor financial and operational performance against agreed business plans and KPIs.
- Identify opportunities for revenue growth, margin expansion, operational improvement and strategic initiatives.
- Support portfolio companies on M&A;, fundraising, capital restructuring and strategic expansion.
- Maintain robust relationships with portfolio company promoters and senior management.
- Identify potential exit opportunities and develop appropriate exit strategies.

7. Fundraising & Investor Relationships
- Support / lead engagement with institutional investors, family offices, HNIs and other capital providers.
- Develop relationships with potential LPs and strategic capital partners where relevant.
- Support fundraising initiatives, investor presentations and due diligence processes.
- Represent the firm's investment capabilities and track record to prospective investors.

Market Intelligence & Investment Themes
- Maintain a strong understanding of macroeconomic trends, capital markets and sector dynamics.
- Identify attractive investment themes and emerging sectors.
- Track industry consolidation, M&A; activity, valuations and competitive developments.
- Develop differentiated sector perspectives and investment opportunities.
- Build relationships across the broader Private Equity and Investment Banking ecosystem.

9. Team Leadership & Development
- Lead, mentor and develop investment professionals within the team.
- Review and guide analysts and associates on financial modelling, research and investment analysis.
- Establish high standards for investment underwriting, execution and documentation.
- Allocate resources across multiple live transactions and investment opportunities.
- Build a high-performance investment culture focused on accountability, analytical rigour and execution excellence.

Ideal Candidate Profile
- 12+ years of relevant experience in Private Equity, Investment Banking, M&A;, Growth Equity, Venture Capital, Alternative Investments or related investment businesses.
- Demonstrated track record of originating and executing transactions.
- Strong promoter, CXO, investor and intermediary network.
- Proven ability to independently lead investment opportunities from origination to closure.
- Strong understanding of valuation, financial modelling, transaction structuring and investment underwriting.
- Experience across the complete investment lifecycle including origination, due diligence, execution, portfolio management and exits.
- Strong commercial judgement with the ability to identify both opportunities and downside risks.
- Excellent negotiation and stakeholder management skills.
- Strong leadership capabilities and experience managing investment professionals.
- Ability to operate independently while working closely with senior management and Investment Committee members.

Preferred Background Candidates from the following institutions / platforms would be preferred:
- Leading Private Equity / Growth Equity / Venture Capital funds
- Established Alternative Investment Funds
- Investment Banking / M&A; platforms
- Leading Global or Domestic Financial Institutions
- Big 4 Deals / Transaction Advisory with significant transaction exposure
- Family Offices / Investment Platforms with demonstrated investment track record

Educational Qualification
- MBA / PGDM from a premier business school preferred.
- CA / CFA or other relevant professional qualification would be an advantage.
- Strong academic track record preferred.
