We are hiring a Director of Corporate Development to build and execute the company's inorganic growth agenda. This is a hands-on, full-lifecycle role: originating targets, building the investment case, running diligence, negotiating structure and documentation, and quarterbacking integration after close.
The role sits close to the CEO, CFO, and Board. There are no layers between you and the decision, which means the work you produce is the work that gets decided on.
This is a builder's seat, not a manager's seat. You will be the second senior deal professional in a lean function, and the person in this role does the work: builds the model, writes the deck, marks up the agreement, and runs the integration checklist. If you want ownership of a transaction end to end and direct visibility at the top of the company, that trade is available here. If you are looking to direct a team that produces the work for you, this is not the right seat.
Support will build out over time as the function scales, and you will shape what that team looks like.
What You Will Own
Origination and Pipeline
- Build and maintain a proprietary target pipeline across our priority markets, working the ecosystem directly rather than relying on banker-led processes
- Develop and maintain relationships with founders, investors, bankers, and operators in adjacent categories
- Run market maps and thesis-driven landscape work that translates strategy into a named, prioritized target list
- Manage inbound flow and drive early-stage conversations from first contact through indication of interest
Valuation and Investment Case
- Build and own operating models, DCFs, accretion/dilution analyses, and returns work
- Develop synergy cases with functional owners and stress-test them for realism
- Frame the buy, build, or partner decision, including the honest case against a deal
Execution and Structuring
- Run end-to-end transaction processes from LOI through signing and close
- Structure consideration mix, earnouts, escrows, holdbacks, retention pools, and working capital mechanics
- Lead cross-functional diligence across finance, tax, legal, technology, HR, and commercial, and own the diligence tracker and findings synthesis
- Review, mark up, and negotiate transaction documentation alongside counsel: LOIs, NDAs, purchase agreements, disclosure schedules, and ancillary agreements
- Manage external advisors (bankers, counsel, quality of earnings providers) to scope, budget, and timeline
Integration and Post-Close
- Build the integration plan before signing, not after
- Quarterback post-close execution across functions: own the workplan, drive accountability, and escalate where needed
- Track realized synergies and deal performance against the underwritten case, and report results to leadership and the Board
Strategic Work and Board Materials
- Produce Board and executive committee materials on M&A; strategy, pipeline, and individual transactions
- Contribute to longer-range strategic planning, competitive analysis, and market positioning work
- Support capital allocation discussions with analysis on the tradeoffs across organic investment, M&A;, and return of capital
Required Experience
- Approximately 8 to 10 years of experience, with a solid core of transaction execution. We will look past the band for the right profile, including bankers making a first move in-house
- Typical paths: investment banking (M&A;) followed by in-house corporate development; corporate development at a strategic acquirer; or private equity with subsequent operating exposure
- Demonstrated ownership of at least three to five closed acquisitions, with clear articulation of your personal scope on each
- Direct experience negotiating US transaction documentation and working alongside deal counsel, with the ability to hold a position on indemnity, reps, and earnout mechanics without deferring every point to lawyers
- Advanced financial modeling capability built from scratch, not from templates
- Experience presenting to CFO,
CEO, or Board audiences
- Excellent written communication, including the ability to produce a Board-ready deck without a design resource
- A track record of doing the work personally in a lean environment, rather than directing others to produce it
Strongly Preferred
- Post-close integration experience with accountability for outcomes, not just planning
- Public company experience and familiarity with the disclosure and diligence obligations that come with it
- Transaction experience with services or delivery-led business models (IT services, BPO, engineering or data services, consulting), including diligence on utilization, delivery cost structure, and customer concentration
- Existing network in AI, data, or technology services markets, with demonstrated ability to originate proprietary conversations in those categories
- Cross-border transaction experience
- CPA, CA, CFA, or MBA
What Success Looks Like First 90 days. Command of the strategy, the current pipeline, and prior transaction history. A refreshed target map with a prioritized short list and a point of view on where we should be spending time.
First 6 months. Active proprietary conversations underway with named targets. Diligence and execution infrastructure built or upgraded. At least one transaction advanced to a meaningful stage.
First 12 months. A transaction signed or closed with you as the execution lead, and an integration plan in market with measurable accountability.

- Operates well in ambiguity and with limited support infrastructure
- Ability to work across international time zones
- Gets into detail willingly. The best people in this seat are in the model and in the document, not reviewing someone else's
- Wants to be marked up. We review each other's work here and expect to get sharper for it
- High output without sacrificing accuracy; this role produces material that reaches the Board
- Credible with founders and executives on the other side of the table
- Direct communicator who surfaces problems early
