Role Description The Company Secretary and Compliance Officer is a full-time, on-site role based in Hyderabad, responsible for overseeing corporate governance and regulatory compliance for Panyam Cements and Mineral Industries Ltd. Day-to-day tasks include organizing and recording board and shareholder meetings, maintaining statutory registers and corporate records, and ensuring timely filings with regulatory authorities. The role involves advising the board and senior management on company law, securities regulations, and corporate governance standards, and drafting, reviewing, and updating policies, charters, and internal compliance frameworks.

The Company

Secretary and Compliance Officer will coordinate with auditors, legal advisors, and regulatory bodies, manage disclosures and reporting obligations,



and support transactions such as share issuances, restructurings, or corporate approvals. The position also requires monitoring changes in applicable laws, conducting compliance risk assessments, and promoting an ethical, transparent governance culture across the organization.

Qualifications

- Professional qualification as Company Secretary (CS) from a recognized institute; additional legal or finance qualifications (LLB, CA, MBA) are an advantage.
- Strong knowledge of corporate laws, securities regulations, governance requirements, and applicable compliance frameworks relevant to Indian corporate and industrial sectors.
- Experience in managing board and shareholder meetings, preparing agendas and minutes, and maintaining statutory registers and corporate documentation.
- Proficiency in drafting and reviewing legal and regulatory documents, policies, and contracts, with attention to detail and accuracy.
- Ability to liaise effectively with regulators, stock exchanges (if applicable), auditors, legal counsel, and other external stakeholders.
- Excellent written and verbal communication skills, with the ability to present complex regulatory information clearly to management and the board.
- Strong organizational, analytical, and problem-solving skills, with the capacity to prioritize, meet deadlines, and manage multiple compliance tasks simultaneously.
- High ethical standards, integrity, and a proactive approach to identifying and mitigating compliance risks.
