Role Description This is a full-time, in office Company Secretary role based in Bengaluru.
The Company
Secretary will manage statutory and regulatory compliance, including maintaining company records, preparing and filing necessary documents, and ensuring adherence to corporate governance requirements.
Responsibilities include organizing board and shareholder meetings, preparing agendas and minutes, and coordinating with directors, auditors, and legal advisors. The role involves drafting and reviewing corporate documents, policies, and agreements,
as well as monitoring changes in relevant laws and regulations and advising management on their impact.
The Company
Secretary will also support risk management, assist with corporate filings and documentation for real estate projects, and help maintain transparent communication with stakeholders and authorities.
Qualifications
- Strong knowledge of corporate law, company secretarial practices, and regulatory compliance relevant to Indian real estate and corporate entities.
- Experience in organizing and managing board and shareholder meetings, including drafting notices, agendas, resolutions, and minutes.
- Proficiency in maintaining statutory registers, handling corporate filings (ROC, MCA, and other regulatory bodies), and managing documentation.
- Skills in drafting, reviewing, and interpreting legal and corporate documents, policies, and contracts.
- Ability to monitor changes in applicable laws, regulations, and governance standards and advise management on implications.
- Excellent written and verbal communication skills, attention to detail, and strong organizational and time management abilities.
- Capability to collaborate effectively with internal teams, auditors, legal counsel, and external stakeholders.
- Membership of the Institute of Company Secretaries of India (ICSI) and a relevant bachelor’s degree; experience in the real estate or infrastructure sector is an advantage.
