Roles and Responsibilities :

COO – Key Responsibilities

1. Strategic &
- Operational Leadership

- Lead overall India operations in line with Board-approved strategy.

- Develop and execute annual and mid-term business plans.

- Drive operational excellence, productivity, and sustainable growth.

1. Governance &
- Compliance

- Ensure compliance with applicable Indian laws and regulations.

- Liaise with government authorities, regulators, auditors, and legal advisors.

- Oversee statutory filings, licenses, and corporate records.

1. Financial Management

- Lead budgeting, forecasting, financial planning, and cost optimization.

- Monitor profitability, financial performance, and operational efficiency.

- Support internal and external audits.

1. Human Resources &
- Organizational Development

- Build and lead a high-performing management team.

- Oversee recruitment, training, performance management, and employee engagement.

- Promote a team-oriented, performance-driven culture and ensure labour law compliance.

1. Business Development &
- Market Expansion

- Identify new business opportunities, partnerships, and expansion opportunities.

- Support market adaptation and business development initiatives.

- Represent the Company at industry forums and business meetings.

1. Stakeholder Communication

- Act as the key communication link between the Indian Company and Japanese parent company.

- Provide regular strategic, operational, and financial updates to the Board.

- Ensure effective internal and external stakeholder communication.

1. Risk Management &
- Business Continuity

- Identify and mitigate operational, financial, legal,



and strategic risks.

- Ensure effective business continuity and crisis management arrangements.

1. Leadership Representation

- Represent the Company in official and external matters.

- Uphold the Company’s reputation, ethical standards, and corporate values.

Director – Roles, Duties, Accountability &

- Liabilities

1. Key Duties

- Provide strategic oversight and participate actively in Board decision-making.

- Act in the best interests of the Company and exercise independent judgment.

- Review and approve business plans, budgets, major contracts, investments, and financing arrangements.

- Monitor financial performance, risks, internal controls, and corporate governance.

- Ensure implementation of Board-approved strategies.

- Safeguard Company assets, reputation, and long-term interests.

- Ensure statutory disclosures, reporting, and related-party transaction requirements are met.

1. Statutory Duties

- Act in good faith in furtherance of the Company’s objectives.

- Exercise due care, skill, diligence, and independent judgment.

- Avoid and disclose conflicts of interest.

- Not obtain undue gain or advantage from the position.

- Comply with the Companies Act, 2013 and other applicable laws.

1. Accountability &




- Liabilities

- Ensure compliance with applicable statutory and regulatory requirements.

- Be accountable for acts, omissions, or non-compliances attributable to the Director under applicable laws.

- Maintain confidentiality of Company information.

- Comply with applicable fiduciary duties and standards of conduct.

Job Requirements :

- Minimum 15–20 years of experience in corporate management, operations, business strategy, or general management roles.

- Proven experience in leading business operations, organizational development, and execution of annual and mid-term business plans.

- Prior experience in leadership positions such as COO, Business Head, Country Manager, Managing Director, or Board Director preferred.

- Experience in the chemical, pharmaceutical, manufacturing, industrial, or related sectors is highly desirable.

- Strong exposure to Japanese companies or Japanese corporate culture is preferred.

- Demonstrated capability in managing cross-functional teams and driving operational efficiency and business growth.

- Experience in stakeholder management, including coordination with headquarters, board members, regulators, and external partners.

- Exposure to Indian market operations and business expansion initiatives preferred.

- Strong financial and commercial acumen, including budgeting, strategic planning, and performance management.

- Excellent leadership, interpersonal, and communication skills.

- Fluency in English is mandatory
- Japanese language proficiency will be an added advantage
