Role Overview

The Company Secretary & Compliance Officer will lead the Company’s secretarial, regulatory compliance, and governance functions. The role requires ensuring compliance with RBI regulations, the Companies Act, 2013, SEBI/MCA requirements (where applicable), and implementing a robust governance and compliance framework.

Key Responsibilities

Ensure compliance with RBI regulations, Master Directions, Circulars,



and Digital Lending Guidelines.

Manage all Companies Act, 2013, MCA, and Secretarial compliances.

Organize Board, Committee, and General Meetings; prepare agendas, notices, minutes, and action trackers.

Maintain statutory registers, records, and secretarial documentation.

Strengthen corporate governance and ensure implementation of Board decisions.

Develop and monitor compliance framework, SOPs, governance policies, and compliance calendar.

Coordinate with RBI, statutory auditors, internal auditors, secretarial auditors, and regulators.

Oversee regulatory filings, returns, policy reviews, and Board compliance reporting.

Monitor regulatory changes and advise management on compliance implications.

Conduct compliance reviews, identify gaps, and implement corrective actions.

Support RBI inspections, audits, and regulatory examinations.
