A. Corporate Governance & Board Management

- Governance Stewardship
/n
- Serve as the custodian of corporate governance practices across the organisation.
/n
- Strengthen governance frameworks, compliance structures, and policy systems aligned with business growth and IPO preparedness.
/n
- Ensure adherence to Companies Act, 2013, SEBI regulations LODR, SDD, IDR , UPSI regulations (as applicable), secretarial standards, and other corporate governance requirements.
/n
- Advise leadership on governance implications of strategic, operational, financial, and organisational decisions.
/n
- Lead the implementation of the organisation in transitioning toward institutional and listed-company governance standards.
/n
- Board & Committee Management
/n
- Manage end-to-end Board, Committee, AGM, and EGM processes.
/n
- Prepare agendas, notices, Board papers, presentations, resolutions, and minutes.
/n
- Ensure timely circulation of governance materials and maintenance of decision records.
/n
- Track closure of action items arising from Board and Committee meetings.




/n
- Support Directors and management on governance responsibilities, disclosures, and statutory obligations.
/n
- Facilitate effective Board functioning and governance transparency.
/n
- Policy & Governance Frameworks
/n
- Develop and strengthen governance policies, delegation matrices, compliance trackers, and approval frameworks.
/n
- Lead implementation of governance mechanisms aligned with future listing requirements.
/n
- Build governance documentation systems and reporting structures to improve organisational control and accountability.

B. Regulatory, Secretarial & Compliance Management

- Secretarial Compliance

- Ensure end-to-end compliance under the Companies Act, 2013 and allied corporate laws.

- Manage all Stock Exchange filings, statutory returns, disclosures, resolutions, and regulatory submissions.
