Company Secretary – Job Responsibilities
A Company Secretary (CS) is responsible for ensuring that the company complies with statutory and regulatory requirements and follows proper corporate governance practices.
- Ensure compliance with the Companies Act, 2013, MCA regulations, and other applicable laws.
- Organize and manage Board Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
- Prepare meeting agendas, notices, resolutions, minutes, and other statutory documents.
- Handle statutory filings, returns, and forms with the Ministry of Corporate Affairs (MCA) and other regulatory authorities.
- Maintain statutory registers, records, and corporate documents.
- Advise the Board of Directors and management on corporate governance, legal compliance, and regulatory matters.
- Coordinate with auditors, lawyers, government authorities, banks, and other stakeholders.
- Manage company incorporation,
changes in directors, shareholding, registered office, and other corporate matters.
- Ensure timely compliance with annual filing and disclosure requirements.
- Handle matters related to share capital, allotment and transfer of shares, and corporate restructuring, where applicable.
- Monitor changes in corporate laws and ensure the company implements necessary compliance measures.
- Support management in maintaining proper corporate policies, procedures, and governance standards.
Preferred Qualification: Qualified Company Secretary / Associate or Fellow Member of the Institute of Company Secretaries of India (ICSI), with relevant experience in corporate compliance and secretarial matters.
