About the Role

We are looking for an Assistant Manager – Legal to provide legal, regulatory, commercial, and transactional support across our NBFC and digital lending business.

The role will work closely with Business, Credit, Risk, Compliance, Finance, Treasury, Product, Technology, and Operations teams and will have exposure to both lending operations and financing transactions.

Key Responsibilities

Regulatory & Digital Lending
- Advise on RBI regulations applicable to NBFCs and digital lending.
- Support compliance with digital lending requirements, including KFS, disclosures, customer protection, LSP arrangements, grievance redressal, outsourcing, and data governance.
- Review recent lending products, customer journeys, pricing, underwriting, and collection processes.
- Track regulatory changes and support implementation across functions.

Lending & Commercial Contracts
- Draft and review loan agreements, KFS, T&Cs;, sanction letters,



undertakings, and other lending documents.
- Draft and negotiate LSP, fintech, vendor, technology, MSA, NDA, and other commercial agreements.
- Ensure appropriate provisions relating to confidentiality, data protection, audit, indemnity, liability, termination, and regulatory compliance.

Borrowings & Financing
- Provide legal support for NBFC borrowings, fundraising, and financing transactions.
- Review facility agreements, sanction letters, term sheets, security documents, undertakings, and related documentation.
- Support legal due diligence, security creation/perfection, transaction closing, and post-closing compliance.
- Coordinate with external counsel, Finance, and Treasury teams.

Corporate, Data & Disputes
- Support Board/shareholder documentation, corporate actions, and governance matters.
- Advise on data protection, privacy, technology, and cybersecurity requirements.
