PURPOSE OF THE JOBJob Context:Assisting the Company Secretary and the Secretarial & Compliance team in ensuring compliance under the Companies Act, 2013, SEBI (LODR) Regulations and other applicable laws for Abans Enterprises Limited and its subsidiaries/group companies, and supporting the administration of Board, Committee and General Meetings.Challenges:Preparation of agenda, notices, minutes and other documentation for Board/Committee/General Meetings, ensuring timely regulatory filings with the ROC, SEBI and Stock Exchanges, and coordinating across departments and group entities to keep compliance trackers and statutory registers up to date.2. Compliance with applicable provisions of the Companies Act, 2013 and rules made thereunder, including preparation and filing of e-forms for the Company, subsidiaries and group companies
2. Maintaining and updating statutory registers and minutes books from time to time
3. Preparation of agenda, notices, minutes and other documentation for Board and Committee Meetings of the Company and its subsidiaries/group companies
4. Assisting in preparation of the Board's Report, notices of general meeting and postal ballot
5. Liaising with secretarial auditors and consultants for audits and certifications under the Companies Act
6. Coordinating with the RTA on share transfers/transmissions and IEPF-related matters
7. Keeping the department updated on statutory amendments
