Location: Kashipur, Uttarakhand
Job Purpose
To lead and oversee company secretarial, corporate governance, statutory and regulatory compliance matters for the Group entities. The role will ensure effective management of listed company compliances, Board and Committee processes, statutory filings, shareholder matters and corporate records while providing sound governance and regulatory guidance to senior management.
Key Responsibilities
Company Secretarial & Statutory Compliance
- Lead and oversee compliance under the Companies Act, 2013, applicable Rules, Secretarial Standards and other relevant corporate laws.
- Ensure timely and accurate preparation and filing of statutory forms, returns, registers, resolutions, minutes and other regulatory records.
- Maintain and monitor a comprehensive compliance calendar covering ROC, MCA and other applicable statutory requirements.
- Monitor regulatory developments and ensure timely implementation of changes in applicable laws and regulations.
- Ensure effective compliance monitoring across the Group entities and timely closure of identified compliance gaps.
Board, Committee & Shareholder Governance
- Lead the end-to-end coordination of Board, Board Committee and Shareholder meetings, including notices, agendas, agenda notes, resolutions, minutes and certified extracts.
- Ensure compliance with statutory and regulatory requirements relating to Board and Committee composition and functioning.
- Advise Directors and senior management on corporate governance requirements, statutory obligations and regulatory matters.
- Ensure timely execution and follow-up of Board and Committee resolutions and action points.
- Coordinate AGM, EGM and other shareholder-related processes, including notices, voting and related statutory requirements.
Listed Company & Regulatory Compliance
- Lead compliance with SEBI (LODR) Regulations, SEBI Insider Trading Regulations and other applicable securities laws and listing requirements.
- Ensure timely and accurate Stock Exchange filings, corporate announcements and regulatory disclosures.
- Oversee preparation and submission of shareholding patterns, corporate governance reports, investor grievance reports and other periodic disclosures.
- Manage event-based disclosures and ensure timely reporting of material events and information to the Stock Exchanges.
- Coordinate with SEBI, Stock Exchanges, Depositories and RTAs on regulatory matters, clarifications, filings and investor-related requirements.
- Ensure appropriate controls for insider trading compliance, including UPSI-related processes, disclosures and applicable records.
Corporate Records & Documentation
- Ensure complete, accurate and audit-ready maintenance of corporate and secretarial records for all relevant Group entities.
- Maintain statutory registers, Board and shareholder records, ROC filings, regulatory submissions and other secretarial documentation.
- Ensure proper organisation, accessibility and timely updating of corporate records and document repositories.
- Coordinate and support Secretarial Audits, statutory audits and other compliance reviews, ensuring timely closure of observations and recommendations.
Legal, Governance & Stakeholder Management
- Act as a key governance and secretarial point of contact for senior management, Finance, HR, Legal, auditors and external advisers.
- Support corporate legal matters including agreements, authorisations, powers of attorney, corporate actions and other governance documentation.
- Coordinate with external legal counsel on legal opinions, regulatory notices, litigation and corporate transactions, wherever required.
- Maintain legal and regulatory trackers and ensure timely follow-up of critical matters.
- Provide practical and concise advice to management on legal, regulatory and governance risks.
- Ensure effective coordination with internal and external stakeholders for timely resolution of compliance and governance matters.
Process Improvement & Digitisation
- Drive continuous improvement in company secretarial, governance and compliance processes.
- Identify opportunities for automation, digitisation and workflow improvement across secretarial and compliance activities.
- Strengthen compliance monitoring mechanisms, reporting dashboards and documentation systems.
- Improve process efficiency, accuracy and turnaround time while reducing manual intervention and compliance risks.
- Promote consistent governance and documentation practices across Group entities.

Educational Qualification
- Qualified Company Secretary (CS) with active membership of ICSI
- LL.B. qualification will be an added advantage.
Experience
- 10–12 years of relevant post-qualification experience in Company Secretarial, Corporate Governance and Regulatory Compliance.
- Solid experience in managing listed company compliances, preferably within a large corporate or manufacturing organization.
- Proven experience in handling Board, Committee and Shareholder meetings, ROC/MCA filings, SEBI and Stock Exchange compliances.
- Strong exposure to SEBI LODR, Insider Trading Regulations, Secretarial Standards and other applicable corporate laws.
- Experience in coordinating with Stock Exchanges, SEBI, RTAs, Depositories, auditors, legal advisers and regulatory authorities.
- Candidates with experience in the paper, chemical, process or other large manufacturing industries will be preferred.
- Strong leadership, communication, stakeholder management, drafting and analytical skills with a high degree of attention to detail.
- Ability to independently manage multiple statutory deadlines and advise senior management on governance and compliance matters.
