Position: Company Secretary
About the Role
We are looking for a qualified and detail-oriented Company Secretary to manage corporate secretarial, statutory, compliance, and governance-related activities for our logistics business. The ideal candidate should have strong knowledge of the Companies Act, regulatory compliance, documentation, and coordination with internal and external stakeholders.
Key Responsibilities
- Ensure compliance with the Companies Act, 2013 and other applicable laws and regulations.
- Maintain statutory registers, records, minutes, resolutions, and corporate documentation.
- Prepare agendas, notices, minutes, and supporting documents for Board and General Meetings.
- Coordinate Board Meetings, General Meetings, and other statutory meetings.
- Manage ROC/MCA filings, including annual returns and other applicable forms.
- Monitor statutory and regulatory compliance deadlines and maintain compliance calendars.
- Liaise with ROC, MCA, auditors, legal advisors, consultants, and other regulatory authorities.
- Assist the management and Board of Directors with corporate governance matters.
- Draft and review resolutions, agreements, notices, declarations, and other corporate documents.
- Maintain proper records of shareholding, director-related matters, and corporate changes.
- Support incorporation, alteration, restructuring,
and other corporate actions as required.
- Provide guidance to management on statutory and secretarial compliance requirements.
- Maintain confidentiality of sensitive corporate and business information.
- Assist with compliance requirements relevant to the logistics, transportation, warehousing, and supply-chain business as applicable.
Requirements
- Qualified Company Secretary (CS) from the Institute of Company Secretaries of India (ICSI).
- Graduate degree in Commerce, Law, Business Administration, or a related field preferred.
- Strong knowledge of the Companies Act, MCA/ROC filings, corporate governance, and statutory compliance.
- Good drafting, documentation, communication, and coordination skills.
- Proficiency in MS Office and relevant MCA/ROC compliance platforms.
- Robust attention to detail and ability to manage multiple deadlines.
- Prior experience in the logistics, transportation, supply chain, warehousing, or related industry will be an advantage.
