Role Requirements The candidate must have 7–8+ years of post-qualification experience in Banking, NBFC or Financial Services, with robust experience in:
- Supply Chain Finance
- Co-lending
- Bilateral loan documentation
- Lending and security documentation
- Legal drafting and negotiation
- Lending products
- Applicable laws and RBI regulations
Required Qualifications and Skills
- LLB or LLM
- Hands-on experience in Supply Chain Finance documentation
- Experience in co-lending structures and agreements
- Experience in bilateral loan and security documentation
- Experience reviewing Business Correspondent agreements
- Experience reviewing DSA agreements
- Strong legal drafting, vetting and negotiation skills
- Strong legal research and analytical abilities
- Excellent communication skills
- Strong attention to detail
- Tech-friendly mindset
The candidate should have a robust command of the relevant provisions and principles under:
- Companies Act
- Indian Contract Act
- Sale of Goods Act
- Transfer of Property Act
- Principles of Hypothecation
- Insolvency and Bankruptcy Code
- SARFAESI Act
The candidate should possess a good understanding of:
- RBI Master Directions applicable to NBFCs
- RBI Outsourcing Guidelines
- RBI Co-lending Guidelines
Key Responsibilities
- Draft, review, vet and negotiate Business Correspondent agreements, DSA agreements and related onboarding documentation.
- Draft, review, vet and negotiate secured and unsecured facility agreements.
- Draft, review, vet and negotiate co-lending agreements and Service Level Agreements.
- Draft and review hypothecation deeds, guarantees, Demand Promissory Notes and Non-Disclosure Agreements.
- Draft and review corporate authorisations, resolutions and ancillary documents.
- Review constitutional documents and authorisations for lending transactions.
- Conduct legal research and track regulatory updates affecting NBFC operations.
- Liaise with external counsel, law firms and consultants for transactional and legal support.
- Assist in maintaining legal documentation systems and records.
Preferred Candidate Profile The ideal candidate will be a lending-legal professional from a Bank, NBFC or Financial Services organisation with direct, hands-on responsibility for Supply Chain Finance, co-lending and bilateral loan documentation.
