Goodyear South Asia Tyres Private Ltd is required to appoint a Whole-time Company Secretary under the Companies Act, 2013. The Act specifically assigns responsibility to the Company Secretary for ensuring compliance with applicable legal and regulatory requirements, Secretarial Standards, and advising the Board on corporate governance matters. Failure to maintain this position may expose the Company and its officers to regulatory non-compliance and potential penal consequences.

In addition to fulfilling a mandatory legal requirement, the role is essential to support the Company in ensuring compliance with the Companies Act, 2013, SEBI (LODR) Regulations, and Secretarial Standards; managing Board, Committee, and Shareholder meetings, including agendas, minutes, resolutions, and regulatory disclosures; supporting the Board and senior management on governance, compliance, ESG, risk management, and stakeholder matters; overseeing shareholder services, dividend-related compliances, IEPF matters, annual report preparation, AGM processes, and interactions with stock exchanges, registrars,



and regulators; and maintaining statutory registers, records, policies, and governance documentation required under applicable laws.

Therefore, this position is essential to meet statutory obligations, mitigate compliance risks, and support the effective governance and functioning of the Company.
As a Company Secretary, you will support end-to-end compliance with applicable corporate, regulatory, and governance requirements for a listed entity and two group companies in India. You will partner with leadership, Board members, and cross-functional teams to manage board processes, statutory filings, investor relations, and secretarial compliances in accordance with the Companies Act, 2013, SEBI regulations, and other applicable laws.
