Requirement: Senior Company Secretary / Corporate Control Expert

We require an independent senior Company Secretary / Corporate Law expert for a closely held family-company shareholding and control dispute in Delhi.

Key requirement

The expert must have real experience in:
- Shareholding reconstruction from old records
- Share transfer and transmission disputes
- Register of Members / share certificate verification
- Board control and voting-rights analysis
- Family company and promoter disputes
- Beneficial ownership / nominee shareholding
- Oppression and mismanagement matters
- NCLT / NCLAT company-law litigation support
- Rectification of Register of Members
- Historic ROC / MCA filing review
- Forensic corporate due diligence
- Cross-holding and group-company control mapping

The assignment is not routine ROC compliance. We need a written qualified opinion on:
- Actual legal shareholding and voting rights.
- Validity of historic share transfers, especially changes from around 2006 onward.
- Whether shares were transferred through valid documentation, board approval,



stamp duty, consideration and proper statutory entries.
- Whether any holdings are benami, nominee, shell-company or beneficial-owner holdings.
- Present board-control position and ability to appoint/remove directors.
- Whether any entries can be challenged through rectification, injunction, NCLT or other company-law remedies.
- Group-company and cross-holding control map.
