Role Overview
We are seeking an experienced and strategic Group Chief Financial Officer to lead the finance function across a diversified group operating in the Technology, Travel and Education sectors.
The Group CFO will be responsible for financial strategy, listed-company compliance, financial reporting, treasury, taxation, risk management, investor relations, fundraising, acquisitions and corporate governance.
The successful candidate must have worked with a listed company for at least five years and possess strong knowledge of quarterly financial reporting and regulatory compliance. Prior experience in managing an IPO will be a significant advantage.
Key Responsibilities
Financial Strategy and Leadership
Develop and execute the Group’s financial strategy in alignment with its growth objectives.
Serve as a strategic adviser to the Chairman, Board and senior management.
Lead annual budgeting, forecasting and long-term financial planning across all group companies.
Establish financial performance indicators and provide actionable insights to business leadership.
Evaluate new investments, business expansions and strategic initiatives.
Listed-Company Compliance
Manage all quarterly and annual financial reporting requirements of a listed company.
Ensure timely compliance with SEBI Regulations, Listing Obligations and Disclosure Requirements (LODR) and stock-exchange requirements.
Coordinate quarterly limited reviews and annual statutory audits.
Prepare financial and compliance documents for the Board and Audit Committee.
Ensure accurate and timely submission of financial results, shareholding information, related-party transaction disclosures and other statutory filings.
Work closely with the Company Secretary, auditors, legal advisers and stock exchanges.
Maintain strong internal controls and ensure adherence to corporate-governance requirements.
Financial Reporting and Controls
Oversee standalone and consolidated financial statements under applicable Ind AS and accounting standards.
Ensure timely monthly, quarterly and annual closure of accounts.
Develop robust accounting policies, standard operating procedures and financial controls across the Group.
Strengthen management information systems and financial dashboards.
Ensure consistency and accuracy of reporting across subsidiaries and business verticals.
Treasury, Fundraising and Capital Management
Manage the Group’s cash flow,
working capital, banking relationships and treasury operations.
Develop optimal debt and equity funding strategies.
Lead discussions with banks, financial institutions, private-equity investors and other capital providers.
Manage foreign-exchange exposure and cross-border financial transactions.
Optimize the Group’s capital structure and cost of funds.
IPO and Capital-Market Responsibilities
Support or lead IPO readiness, including financial restructuring, due diligence and regulatory documentation.
Coordinate with merchant bankers, legal advisers, auditors, registrars and other intermediaries.
Assist with preparation and review of the DRHP/RHP and responses to regulatory observations.
Establish systems and controls required for operating as a publicly listed company.
Manage post-listing investor communication, financial disclosures and analyst interactions.
Prior experience in successfully managing or participating in an IPO will be an added advantage.
Mergers, Acquisitions and Investments
Lead financial evaluation, valuation, due diligence and structuring of acquisitions and joint ventures.
Assess target-company financials, liabilities, tax exposure and integration requirements.
Develop funding structures involving cash, debt, share swaps, earn-outs or vendor financing.
Monitor the financial performance of acquired businesses and investments.
Lead post-acquisition financial integration and synergy tracking.
Taxation, Audit and Risk Management
Oversee direct tax, indirect tax, GST, transfer pricing and international tax matters.
Manage statutory, internal, tax and regulatory audits.
Identify financial, operational and regulatory risks and implement mitigation measures.
Ensure adequate insurance, fraud-prevention and enterprise-risk-management systems.
Maintain robust relationships with auditors, tax advisers and regulatory authorities.
Business-Specific Financial Oversight
Understand the financial and operational dynamics of Technology, Travel and Education businesses.
Monitor business-specific metrics including customer acquisition cost, revenue recognition, deferred revenue, refunds, payment cycles and profitability.
Oversee multi-currency transactions, international collections,
supplier settlements and foreign subsidiaries.
Ensure appropriate revenue-recognition practices for online education, travel bookings, technology services and subscription businesses.
Support business heads in improving margins, cash conversion and return on capital.
Team Leadership
Lead and develop finance, accounts, taxation, treasury, audit and financial-planning teams.
Build a high-performance finance organization with clear accountability and succession planning.
Implement technology-driven finance systems, automation and reporting tools.
Promote a culture of integrity, transparency and regulatory discipline.
Mandatory Qualifications and Experience
Qualified Chartered Accountant (CA).
Minimum 15 years of relevant professional experience, including senior finance-leadership responsibility.
At least five years of experience working with a listed company.
Strong working knowledge of quarterly and annual listed-company compliances.
Excellent understanding of SEBI LODR Regulations, stock-exchange filings, Ind AS and corporate-governance requirements.
Proven experience in consolidated financial reporting, audit management, taxation, treasury and internal controls.
Experience managing multiple subsidiaries or a diversified group structure.
Strong communication, leadership, analytical and stakeholder-management skills.
Preferred Experience
Direct experience with an IPO, DRHP/RHP preparation or listing process.
Experience interacting with merchant bankers, institutional investors and market analysts.
Experience in mergers, acquisitions, fundraising or private-equity transactions.
Exposure to Technology, Travel, Education, FinTech, e-commerce or other digital businesses.
Experience managing international subsidiaries and cross-border transactions.
Additional qualifications such as CMA, CS, CFA or MBA will be advantageous.
