1. Good understanding of private equity concepts, investment structures, and how private equity transactions are executed, with the ability to support deal teams on related legal and commercial matters.

2. Confident in drafting, reviewing, and negotiating a wide range of commercial agreements while balancing legal risk with business objectives.

3. Solid grasp of key contractual provisions such as indemnities, intellectual property rights, data protection, confidentiality obligations, limitation of liability, and AI-related terms and conditions.

4. Experience in handling SaaS and technology agreements, including advising on subscription models, software licensing, service commitments, customer and vendor obligations, termination rights, and risk allocation.

5. Proven experience in drafting and negotiating commercial documentation, including NDAs, Non-Reliance Letters, Engagement Letters, Master Services Agreements (MSAs), Statements of Work (SOWs), Vendor Agreements, and other business-critical contracts.

Skilled at identifying legal and commercial risks, proposing pragmatic solutions, and supporting stakeholders through complex negotiations.

7. Comfortable working closely with business, procurement, compliance, finance, and external counsel to drive contracts and transactions through to completion.

8. Experience supporting contract lifecycle management activities, legal due diligence exercises, and documentation reviews for strategic business initiatives and transactions.

9. Keen interest in emerging technologies and evolving legal considerations relating to data privacy, intellectual property, cloud services, and artificial intelligence.

10. Excellent drafting, communication, negotiation, and stakeholder management skills, with the ability to work independently and manage multiple priorities in a fast-paced environment.
