Senior Manager - Legal Counsel Pune, India

We are seeking an experienced and business-oriented Senior Manager - Legal Counsel to lead legal, contractual, and governance matters while partnering with leadership to support business growth, ensure compliance, and mitigate risk. The ideal candidate will have strong experience in BFSI, FinTech, Payments, or SaaS, with expertise in commercial contracts, regulatory compliance, and corporate governance.

What will you be working on

- Legal Strategy & Business Advisory
- Serve as the primary legal advisor to the CEO and senior leadership on strategic business initiatives.
- Provide practical, commercially sound legal advice to support business growth while effectively managing legal and regulatory risks.
- Partner with Business, Product, Technology, Sales, Compliance, Finance, Procurement, and HR teams on legal matters.

- Commercial Contracts

- Lead end-to-end drafting, negotiation, review, and execution of commercial agreements, including:
- Customer Agreements
- Merchant Agreements
- Vendor & Procurement Contracts
- SaaS Agreements
- Technology Licensing Agreements
- Partnership & Alliance Agreements
- NDAs
- Master Service Agreements (MSAs)
- Statements of Work (SOWs)
- Data Processing Agreements (DPAs)




- Build standardized contract templates and playbooks to improve efficiency and consistency.

- Regulatory & Compliance

- Interpret and advise on applicable laws and regulations governing financial services, payments, technology, and data privacy.
- Work closely with Compliance and Risk teams to ensure adherence to applicable regulatory requirements.
- Monitor regulatory developments and proactively assess their business impact.
- Support internal governance, policy creation, and compliance initiatives.

- Corporate Governance

- Support Board and management on governance matters.
- Oversee legal documentation relating to corporate restructuring, investments, strategic partnerships, and due diligence.
- Coordinate with external counsel on litigation, disputes, and regulatory matters.
- Maintain statutory records and oversee legal documentation.

- Risk Management

- Identify legal and commercial risks across business operations.
- Develop practical risk mitigation strategies.
- Support enterprise-wide legal risk assessments and contract governance.
- Review new products, business models, and strategic initiatives from a legal perspective.

- Policy & Process Development

- Develop and maintain contract management processes and governance frameworks.
- Build scalable legal infrastructure aligned with the organizations growth plans.
- Conduct legal awareness sessions and training across business functions.

- Stakeholder Management

- Manage relationships with external law firms, regulators, consultants, and industry bodies.
- Collaborate with cross-functional leadership teams on strategic projects.




- Act as a trusted advisor across all business functions.

Qualification

- Required Qualifications
- Bachelors Degree in Law (LL.B.) from a recognized university.
- Masters Degree in Law (LL.M.) or Company Secretary qualification will be an added advantage.
- 6-10 years of post-qualification experience.
- Prior experience as an in-house legal counsel is strongly preferred.
- Experience in BFSI, FinTech, Payments, Banking, NBFC, Financial Services, or SaaS organizations is mandatory.

- Required Skills & Experience

- Extensive experience in commercial contracting and negotiations.
- Strong understanding of financial services and technology regulations.
- Experience in procurement, sourcing, vendor management, and contract lifecycle management.
- Expertise in drafting, vetting, redlining, and negotiating complex commercial agreements.
- Corporate governance and regulatory compliance experience.
- Due diligence, legal research, and risk assessment capabilities.
- Experience supporting strategic partnerships, investments, and business expansion initiatives.
- Strong stakeholder management and influencing skills.
- Excellent analytical, communication, and negotiation abilities.
- Ability to operate independently in a rapid-paced, high-growth environment.

Preferred

- 8-12 years of experience in FinTech, Payments, Banking, NBFC, Lending, WealthTech, or SaaS companies.
- Exposure to RBI regulations, payment ecosystems, digital platforms, data privacy, and technology contracting.
- Experience working with cross-border transactions and international commercial agreements.
- Experience supporting fundraising, financing, and corporate transactions.
