Job Description Company Secretary

Overview

We are looking for a dynamic and detail-oriented Company Secretary to join our IPO & Capital Markets Advisory practice. The role offers an opportunity to work on diverse assignments involving IPO readiness, capital market transactions, corporate secretarial compliances, regulatory filings, and corporate governance for listed, unlisted, and IPO-bound companies across various industries.

The ideal candidate should possess a strong foundation in corporate and securities laws, demonstrate excellent drafting and execution capabilities, and be comfortable managing multiple client engagements in a fast-paced consulting environment.

Key Responsibilities

Corporate Secretarial & Governance

Organize and coordinate Board, Committee, and Shareholder Meetings, including preparation of notices, agendas, board papers, resolutions, attendance records, minutes, and post-meeting compliances.

Prepare and maintain statutory registers, records, minute books, and other secretarial documentation in compliance with applicable laws.

Ensure timely completion of annual and event-based compliances under the Companies Act, 2013 and Secretarial Standards.

Maintain compliance calendars and monitor statutory due dates across multiple client engagements.

Coordinate with clients, auditors, legal counsels, and internal teams for execution of secretarial assignments.

Regulatory Filings & Compliance

Prepare, review, and file statutory forms, returns, and applications with the Registrar of Companies (RoC), Regional Director (RD), Ministry of Corporate Affairs (MCA), Reserve Bank of India (RBI), and other regulatory authorities, as applicable.

Prepare documentation and coordinate filings relating to incorporation of companies,



appointment and resignation of directors and KMP, changes in capital structure, alteration of Memorandum and Articles of Association, shifting of registered office, and other corporate actions.

Assist in FEMA and RBI compliances relating to foreign investments, overseas investments, cross-border transactions, and related regulatory filings.

Track statutory due dates and ensure timely completion of regulatory filings and approvals.

Capital Markets & Corporate Actions

Support execution of IPO readiness assignments and capital market transactions.

Assist in issue and allotment of securities, rights issues, preferential allotments, private placements, bonus issues, buybacks, ESOP implementation, and other corporate actions.

Prepare transaction-related documentation and coordinate regulatory filings with stock exchanges, depositories, merchant bankers, registrars, legal counsels, and other intermediaries.

Support due diligence exercises by compiling and reviewing corporate records, statutory documents, and compliance information.

Assist in execution of restructuring, mergers, acquisitions, and other strategic corporate transactions from a secretarial and regulatory perspective.

Compliance, Documentation & Research

Assist in preparation of secretarial audit documents and facilitate closure of audit observations.

Draft Board resolutions, shareholder resolutions, minutes, policies, declarations, affidavits,



and other corporate documents.

Prepare compliance reports, governance trackers, regulatory checklists, and MIS reports.

Maintain document repositories and ensure proper record management.

Track amendments in corporate and securities laws and circulate regulatory updates to the team.

Conduct legal and regulatory research relating to the Companies Act, SEBI Regulations, FEMA, and other applicable laws.

Support preparation of client presentations, proposals, and knowledge management initiatives.

Preferred Qualifications

Associate Member of the Institute of Company Secretaries of India (ACS).

2 3 years of post-qualification experience in Corporate Secretarial, Capital Markets, Listed Company Compliance, or Consulting.

Exposure to IPO assignments, listed company compliances, corporate actions, or capital market transactions will be an added advantage.

Working knowledge of MCA portal, SEBI Regulations, FEMA, and RBI reporting requirements.

Experience in preparing and filing statutory forms with RoC, RD, RBI, and other regulatory authorities.

Proficiency in Microsoft Excel, Word, and Power Point.
