Job Summary: The Company Secretary at Modi Builders, a leading construction firm, will ensure the smooth operation of the company's administration by providing expert legal, administrative, and governance support. This role includes ensuring compliance with statutory and regulatory requirements, implementing decisions made by the Board of Directors, and maintaining high standards of corporate governance. The Company Secretary will play a critical role in facilitating communication between the board, management, and stakeholders, and in overseeing risk management and compliance within the construction industry context.

Key Responsibilities:
- Governance:
- Ensure the company complies with its governing documents, relevant legislation, and regulations specific to the construction industry.
- Provide guidance to the board on their responsibilities under various laws and regulations.
- Facilitate the smooth operation of the company's formal decision-making and reporting mechanisms.
- Board and Committee Support:




- Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs).
- Ensure minutes are accurately recorded and maintained.
- Monitor changes in relevant legislation and the regulatory setting and take appropriate action.
- Compliance and Filing:
- Ensure the company meets its statutory obligations, including filing annual returns, financial statements, and other necessary documents with regulatory authorities.
- Maintain statutory books, including registers of members, directors, and secretaries.
- Communication and Liaison:
- Act as a point of communication between the board, shareholders, and other stakeholders.
- Ensure effective communication with stakeholders, including contractors, suppliers, and regulatory bodies.
- Advisory Role:
- Provide legal, financial, and/or strategic advice during board meetings.
