1. Role Overview
The Company Secretary & Compliance Officer will serve as a key member of the senior management team of a BSE-listed company headquartered in Hyderabad. The incumbent will be responsible for ensuring that the Company complies with all applicable statutory, regulatory, and legal requirements, and that the Board of Directors and its Committees are supported effectively in fulfilling their governance responsibilities. The role demands expertise in SEBI Listing Obligations and Disclosure Requirements (LODR), Companies Act 2013, and best practices in corporate governance.
2. Key Responsibilities
A. Board & Committee Secretarial Functions
- Organise, attend, and prepare minutes of Board meetings, Committee meetings, and Annual/Extraordinary General Meetings (AGMs/EGMs) in accordance with the Companies Act 2013 and Secretarial Standards (SS-1 & SS-2).
- Advise the Board on corporate governance practices, directors' duties, disclosure obligations, and conflict-of-interest matters.
- Maintain the statutory registers, records, and books as prescribed under the Companies Act 2013.
- Draft and review Board resolutions, agenda notes, explanatory statements, and reports to the Board.
B. SEBI / BSE Compliance & Listing Obligations
- Ensure timely and accurate compliance with SEBI (LODR) Regulations 2015, including filing of quarterly/annual reports, shareholding pattern, corporate governance reports, and related party transactions.
- Handle stock exchange filings on BSE Listing Centre – Regulation 30 disclosures, outcome of meetings, financial results, record dates, book closures, and all other event-based disclosures.
- Liaise with BSE, SEBI, NSDL/CDSL,
RTA (Registrar & Transfer Agent), and other market intermediaries.
- Manage SEBI insider trading compliance framework – maintain structured digital database, oversee trading window closures, pre-clearances, and disclosures under SEBI (PIT) Regulations 2015.
- Co-ordinate the annual Secretarial Audit and ensure closure of observations raised by the Secretarial Auditor.
C. ROC / MCA Filings & Company Law Compliance
- Ensure timely filing of all MCA forms – MGT-7, AOC-4, DIR-3 KYC, DPT-3, MSME returns, and other event-based e-forms with the Registrar of Companies, Telangana.
- Manage appointments, resignations, and KYC of directors and Key Managerial Personnel; maintain and update statutory registers accordingly.
- Handle end-to-end process for allotment of shares, ESOPs and dividend formalities.
- Oversee changes in the capital structure, memorandum & articles of association, registered office, and other corporate actions.
D. Corporate Governance & Compliance Framework
- Formulate, review, and implement corporate governance policies – Code of Conduct, Whistle-Blower / Vigil Mechanism, Dividend Distribution Policy, CSR Policy, Related Party Transaction Policy, and Risk Management Policy.
- Co-ordinate with Audit Committee, Nomination & Remuneration Committee, Stakeholders Relationship Committee, and Risk Management Committee.
- Prepare and review the Corporate Governance Report, Management Discussion & Analysis, forming part of the Annual Report.
- Ensure compliance with SEBI (SAST) Regulations and SEBI (PIT) Regulations as applicable.
E. Legal & Contractual Matters
- Review, vet, and negotiate commercial agreements, MOUs, NDAs, vendor contracts,
and other legal documents in co-ordination with external legal counsel.
- Monitor and manage litigation / disputes; liaise with advocates for court proceedings and regulatory show-cause responses.
- Provide legal opinions and guidance to business units on day-to-day compliance queries.
F. Investor Relations & Shareholder Services
- Serve as the primary point of contact for shareholders, addressing investor grievances through the SCORES platform and ensuring resolution within prescribed timelines.
- Oversee dividend payment process – ECS/NECS, unclaimed dividends, and transfer to IEPF.
- Manage the Annual Report preparation and dispatch in co-ordination with the Finance and Communications teams.

Mandatory Qualification
Associate/Fellow Member of ICSI (ACS/FCS).
Experience
Minimum 2-4 years post-qualification experience; experience in a BSE/NSE listed company is mandatory.
Regulatory Knowledge
Strong working knowledge of Companies Act 2013, SEBI LODR, SEBI PIT Regulations, SEBI SAST Regulations, and Secretarial Standards.
Technical Skills
Proficiency in MCA21 portal, BSE Listing Centre, CDSL easi / NSDL system, SCORES, and MS Office Suite.
