About the Role
Azurity Pharmaceuticals is seeking an experienced Legal Counsel - International to join its global legal team and support the in-house legal function across regulated markets including the USA, Europe, and Canada. The role provides strategic transactional legal support (such as MA and licensing arrangements) as well as enablement support to the business, inclusive of the pharmaceutical science and medical organisations.
The Legal Counsel will primarily support the General Counsel based in the EU, together with the global in-house legal team, on global transactional activity, general legal support to the science and medical organisations, contractual review and research, and ad-hoc legal projects.
This is a Hyderabad, India based role. At-facility requirement: work from office five days a week, 12:00 pm - 09:00 pm IST, to enable overlap with US and EU stakeholders.
Role Summary
Primary Areas of Support
- Global transactional activities including MA - product / facility acquisitions, share purchase arrangements, divestments, licensing arrangements and other corporate development activities.
- General legal support to the in-house pharmaceutical science and medical organisations.
- Contractual review, research and other advisory support for agreements underpinning the activities above.
- Ad-hoc legal projects as assigned by global legal leadership.
Key Responsibilities
Transactional Other Legal Support
- Assist in due diligence processes for mergers, acquisitions, licensing and divestments.
- Review and organise documents for data rooms and prepare the reports required for transactions.
- Draft and review contracts and legal documents related to corporate development, scientific and medical work.
- Coordinate with internal stakeholders and external advisors to ensure smooth execution of transactions, research and other legal advice required.
- Carry out all or any activities ancillary to the above.
Contract Review Advisory
- Review and provide feedback on asset (product) purchase agreements.
- Review and provide feedback on share / stock purchase agreements.
- Review and provide feedback on in-licensing and out-licensing agreements.
- Ensure legal risk mitigation and alignment with business objectives.
Stakeholder Coordination
- Liaise with external law firms (as needed), consultants and internal teams across geographies.
- Provide timely legal support and reporting, maintaining high standards of communication and confidentiality.
Ad-hoc Projects
- Support various legal initiatives and projects as assigned by the global legal leadership.
Required Skills and Experience
Education
- LLB from a reputed university.
Experience
- 5-9 years of relevant experience in transactional legal work.
- Prior experience in a law firm or as in-house counsel in a multinational organisation.
- Solid understanding of regulated markets (such as the USA, EU and Canada).
Skills Competencies
- Excellent drafting, analytical and communication skills.
- Proficiency in Microsoft Office; experience with electronic signature programmes and contract management platforms preferred.
- Ability to manage multiple tasks and work collaboratively in a global environment.
Preferred Qualifications
- Experience in science and medical matters within the pharmaceutical industry.
- Exposure to cross-border transactions spanning the USA, EU and Canada.
- Hands-on experience with electronic signature tools (e.g. DocuSign) and contract lifecycle management platforms (e.g. Ironclad).
- Working knowledge of pharmaceutical industry standards and regulatory frameworks.
