Job Summary
ISA is looking for a agile legal professional who can combine robust corporate and transactional expertise with a sound understanding of private-sector finance, funds, investment structures and financial transactions. The role will help turn ambitious ideas into well-structured, legally robust and commercially viable opportunities.
Your Role and Scope of Work
The Legal Officer is expected to provide broad based legal advisory and transactional support across ISA's engagements, particularly in corporate and infrastructure investment transactions, structured and blended finance initiatives, comprising of funds, Infrastructure Investment Trusts (InvITs), and other pooled or collective investment vehicles, as well as procurement, grants, and general contract review. These include:
- Private Sector and Transactional Legal Advisory
- Provide legal advice on private-sector solar and renewable energy investments and corporate transactions.
- Draft, review, and negotiate transaction documentation, including investment agreements, shareholders agreements, subscription agreements, project finance documentation, and related instruments.
- Conduct legal due diligence and risk assessments on private-sector partners, investors, and financial intermediaries.
- Funds and Structured Finance Advisory
- Advise on the structuring, establishment, governance, and regulatory compliance of investment funds, blended finance facilities, and pooled investment vehicles, including Infrastructure Investment Trusts (InvITs) and comparable structures.
- Review and prepare fund and trust documentation, including trust deeds, sponsor and trustee arrangements, fund constitutional documents, and investor protection provisions.
- Provide legal analysis on regulatory frameworks governing infrastructure funds, capital markets instruments, and cross-border investment structures.
- Procurement and Transactional Support
- Provide legal advice and drafting support across ISA's procurement processes.
- Review, draft, and negotiate a broad range of commercial contracts and grant agreements, including consultancy agreements, service contracts, and cooperation or partnership agreements with public and private counterparts.
- Support internal stakeholders in structuring transactions to manage legal and commercial risk while maintaining efficient turnaround on routine and moderately complex procurement matters.
- Advise on financial regulatory compliance, cross-border investment structuring, and risk mitigation mechanisms.
- Contribute to the development of legal templates, model agreements, guidelines, and internal frameworks to facilitate transactional security and integrity.
- Institutional, Governance and Secretariat Support
- Support institutional, administrative, and governance requirements arising from ISA's multilateral operations.
- Assist with corporate secretarial functions, including maintenance of institutional records, statutory filings, and materials for governance meetings, as required.
- Perform other related duties as assigned.
- Dispute Resolution and Legal Risk Management
- Advise on potential and actual disputes arising from contracts, investments, partnerships and other engagements.
- Assess claims, liabilities and potential exposure and recommend appropriate legal and commercial responses.
- Support the management of litigation, arbitration, mediation and other dispute-resolution proceedings,
including coordination with external counsel.
- Review legal submissions, pleadings, opinions and other documents prepared by external counsel.
- Maintain appropriate records of material disputes and legal matters and contribute to assessment of contingent liabilities.
- Identify emerging legal risks and recommend appropriate mitigation and internal controls.
What You Will Need to Succeed
Education
- A University degree in Law (LL.B. or equivalent) from a recognized university is required.
- Admission to practice law in India is required; and must be in good standing with the Bar.
Required Experience
- A minimum of seven (7) years of progressively responsible, post-qualification experience in corporate and commercial transactional law.
- Proven experience in one or more of: infrastructure finance, project finance, or private equity.
- Demonstrated experience in drafting, reviewing and negotiating complex commercial and/or investment documentation.
- Experience gained at a leading law firm, financial institution, investment fund, or multilateral development institution.
Desirable Experience
- Familiarity with the legal frameworks of multilateral or international organizations.
- Demonstrated experience advising on investment funds or pooled investment vehicles is desirable (e.g., private equity funds, infrastructure funds, InvITs, or comparable structured/blended finance instruments).
- Experience advising institutional investors, fund managers, financial institutions or private-sector counterparties will be an advantage.
