Reporting To - Company Secretary / Chief Financial Officer (CFO)

Key Responsibilities:
Ensure compliance with the provisions of the Companies Act, 2013, Secretarial Standards, FEMA, and other applicable corporate laws and regulations.
Assist in planning, convening, and conducting Board Meetings, Committee Meetings, Annual General Meetings (AGMs), and Extraordinary General Meetings (EGMs).
Prepare and draft notices, agendas, Board notes, resolutions, minutes, and other secretarial documents.
Manage all ROC filings, annual filings, event-based filings, and statutory returns within prescribed timelines.
Maintain statutory registers, records, minutes books, and other corporate records in compliance with legal requirements.
Liaise with the Registrar of Companies (ROC), regulatory authorities, auditors, legal consultants, banks, and other external stakeholders.




Monitor changes in applicable laws and ensure timely implementation of statutory and regulatory requirements.
Support legal and compliance documentation related to banking, financing, contracts, and corporate transactions.
Assist in conducting compliance audits and ensuring adherence to internal policies and governance frameworks.
Coordinate with various departments to ensure timely collection of information for statutory filings and compliance.
Maintain records relating to directors, shareholders, share capital, and other corporate matters.
Assist in preparing compliance reports and MIS for senior management.
Ensure confidentiality and proper management of all secretarial and legal documents.

Qualifications:
Qualified Company Secretary (ACS) from the Institute of Company Secretaries of India (ICSI); or:
Semi-Qualified Company Secretary (Executive Programme Passed / Qualified Programme Pursuing)
