DESCRIPTION

Jeppesen ForeFlight is seeking a qualified and motivated attorney to support the
Office of the General Counsel (OGC) and serve as the company secretary for
Jeppesen ForeFlight’s Indian entity. This role combines legal support
responsibilities for a broad portfolio of corporate transactions and commercial
operations with corporate governance and company secretarial responsibilities.
It is one of two newly created roles backfilling and maturing practice areas
previously held by a departing attorney.

The attorney will work closely with senior counsel in the OGC on transactions
and commercial operations, and the corporate paralegal on governance matters. As
company secretary for Jeppesen ForeFlight’s Indian entity, the attorney also
will play a vital part in ensuring compliance with Indian legal and regulatory
requirements, facilitating board governance, advising on corporate governance
matters,



and supporting corporate decision-making processes. While the role has
core areas of responsibility, we expect the scope to evolve as business needs
change - attorneys in the OGC are expected to flex across the department's
priorities and contribute wherever needed.

KEY RESPONSIBILITIES

COUNSEL (TRANSACTIONS & COMMERCIAL OPERATIONS)

* Serve as primary point of contact for vendor contracting matters, handling
escalations from the Procurement team.
* Oversee the corporate paralegal's execution of corporate governance work,
including the board and committee calendar, minutes and resolutions,
subsidiary governance, and the delegation-of-authority matrix.
* Support mergers, acquisitions, and early-stage corporate development
alongside senior counsel, including diligence, closing, and post-merger
integration.
* Handle collections and customer-bankruptcy matters, partnering with the
corporate paralegal to move work off ad hoc processes an
