Job Summary We are seeking a highly skilled and detail-oriented Legal Associate with strong expertise in legal drafting, Intellectual Property Rights (IPR), corporate and commercial laws, contracts, regulatory compliance, and legal documentation .
The ideal candidate should possess a comprehensive understanding of legal intricacies in the corporate workplace and demonstrate the ability to manage diverse legal matters independently. The candidate will be responsible for drafting, reviewing, negotiating, and managing various legal agreements, protecting the Company's intellectual property, ensuring regulatory compliance, supporting strategic partnerships, and minimizing legal and business risks.
The role requires strong analytical, drafting, negotiation, research, and problem-solving skills, along with the ability to work closely with management and various business stakeholders.
Key Roles & Responsibilities
1. Legal Drafting & Contract Management
- Draft, review, negotiate, and vet a wide range of legal and commercial agreements.
- Prepare and manage agreements including:
- Non-Disclosure Agreements (NDAs)
- Service Agreements
- Consultancy Agreements
- Vendor and Supplier Agreements
- Employment and Retainer Agreements
- Partnership and Joint Venture Agreements
- Memorandums of Understanding (MoUs)
- Shareholder Agreements
- Business Transfer Agreements
- Licensing and Assignment Agreements
- Terms & Conditions and other commercial contracts
- Identify potential legal and commercial risks and recommend appropriate safeguards.
- Ensure proper documentation, execution, renewal, and maintenance of contracts.
2. Intellectual Property Rights (IPR)
- Handle legal matters relating to Trademarks, Copyrights, Patents, Designs, and other Intellectual Property Rights .
- Conduct preliminary trademark and IP searches.
- Assist with trademark registration, renewals, objections, oppositions, assignments, and related documentation.
- Draft and review IP licensing, assignment, confidentiality, and technology-related agreements.
- Monitor and protect the Company's intellectual property assets.
- Coordinate with external IP consultants, advocates, and government authorities whenever required.
- Provide legal guidance on IP protection, infringement, misuse, and enforcement.
3. Corporate & Commercial Legal Matters
- Provide legal support on corporate transactions, strategic collaborations, partnerships, and business expansion.
- Assist in structuring and documenting Merger & Acquisition (M&A;) transactions, including due diligence and transaction documentation.
- Conduct legal due diligence and identify potential legal, regulatory, and commercial risks.
- Support management in evaluating business opportunities and strategic partnerships from a legal perspective.
- Ensure that appropriate legal documentation is in place for corporate transactions and business relationships.
4. Regulatory Compliance & Corporate Governance
- Monitor changes in applicable laws, regulations, and compliance requirements.
- Assist in developing and implementing internal legal policies, guidelines, procedures, and compliance frameworks.
- Ensure that business operations and transactions comply with applicable laws and regulatory requirements.
- Maintain statutory, legal, and corporate documentation.
- Work closely with internal teams and external professionals to ensure timely compliance.
5. Legal Research & Advisory
- Conduct detailed legal research on corporate, commercial, contractual, regulatory, and intellectual property matters.
- Provide practical and business-oriented legal advice to management and internal stakeholders.
- Interpret applicable laws and regulations and advise on the legal rights, obligations, and potential liabilities of the organization.
- Stay updated with legal developments, judicial precedents, regulatory changes, and industry practices.

Dispute Resolution & Litigation Support
- Assist in managing legal disputes, notices, claims, and other contentious matters.
- Draft and review legal notices, replies, responses, representations, and other legal documents.
- Coordinate with external advocates and legal consultants for litigation and dispute resolution matters.
- Maintain proper records and documentation relating to ongoing legal cases and disputes.
- Support the organization in minimizing litigation exposure and resolving disputes efficiently.
7. Policy Development & Risk Management
- Draft and implement organizational policies, legal procedures, and internal guidelines.
- Identify legal and operational risks and recommend appropriate mitigation strategies.
- Support the development of governance frameworks and processes to streamline corporate operations.
- Ensure that legal and business interests of the organization are adequately protected.

Preferred Candidate Profile The ideal candidate should have hands-on experience in managing corporate and commercial legal matters, with a strong focus on drafting and reviewing legal agreements and handling Intellectual Property Rights matters . The candidate should be capable of independently managing legal documentation, coordinating with external legal professionals, supporting strategic transactions, and providing practical legal solutions aligned with business objectives. Experience in corporate law firms, legal departments of companies, startups, consulting firms, investment firms, or similar organizations will be preferred.
