Role & responsibilities

Due Diligence Management

- Build and own the diligence readiness pack financial, legal, tax, commercial, technical and ESG ahead of investor requests, not in response to them.

- Run the diligence request tracker end to end: log every question, assign an internal owner, chase it, quality-check the answer before it leaves the building, and maintain a single auditable record of what was shared, with whom, and when.

- Act as the single point of coordination between our internal teams (finance, legal, operations, plants, subsidiaries) and external diligence providers.

- Anticipate the hard questions order-book conversion, revenue recognition on long-term framework contracts, related-party transactions, overseas subsidiary consolidation, export licensing and end-user certification and prepare defensible positions in advance.

Data Room Ownership

- Set up, structure and administer the virtual data room (Ansarada, Datasite, iDeals, Firmex or equivalent).

- Design the folder architecture and indexing so a diligence team can self-serve without escalating to us.

- Enforce access control, watermarking, staged disclosure and permissioning discipline — this is a defence business and information governance is not negotiable.

- Maintain version control and a clean audit trail through to close.

Transaction Analysis and Collateral

- Build and maintain the financial model — operating build-up, order-book conversion schedule, debt schedule, working capital, scenario and sensitivity analysis.

- Review, challenge and improve the information memorandum, teaser,



management presentation and investor FAQ prepared by the bank; ensure every number in every document ties back to a single source of truth.

- Prepare comparable company and precedent transaction analysis so that MKU can independently interrogate the valuation the bank puts forward.

- Draft internal board and promoter briefing notes on term sheets, valuation ranges and structuring options.

Banker and Investor Interface

- Serve as MKU's day-to-day counterpart to the investment banks and advisers we engage — running the weekly cadence, holding them to the agreed timeline, and escalating early when they slip.

- Track the investor funnel: who was approached, who is live, where each stands, and what they have asked for.

- Support term sheet and definitive documentation negotiation alongside the promoter and external counsel; maintain the issues list and track resolution.

- Coordinate management meetings, site visits and investor Q&A; logistics.

Reporting and Disclosure Discipline

- Build the disclosure discipline, reporting cadence and documentation hygiene expected of an institutionally-backed company, so that any future transaction process starts from a prepared base rather than a standing start.

Preferred

- Exposure to defence, aerospace, industrials or manufacturing clients or portfolio companies.

- Experience on a pre-IPO round or DRHP process.

- CA, MBA (Finance) from a top-tier institute, or CFA (charterholder or Level II and above).

- Familiarity with SEBI ICDR regulations, FEMA / FDI in defence, and Press Note 3 considerations for cross-border investors.

- P orking knowledge of Ind AS and consolidation of overseas subsidiaries.P
