Preferred Experience

- Experience in legal functions preferably mining, mineral development, metals, steel, coal, iron ore, natural resources, or infrastructure or allied sectors. Experience in mining sector shall be preferred and will be considered a significant advantage.
- Sound understanding of:

- Royalty, DMF, NMET and related regulatory issues

Skills

- The candidate should possess the maturity and capability to function as the second line of leadership within the Legal Department, independently managing complex legal issues, supervising team members, and effectively engaging with senior management, external counsel, regulatory authorities and other key stakeholders.
- Demonstrated ability to exercise sound legal judgment and make balanced risk-based recommendations under tight timelines and business pressures.

Litigation and Dispute Resolution Management

- Manage and oversee all critical and high-stake litigations, dispute resolution matters initiated against or by the company before various judicial, quasi-judicial, regulatory, and administrative forums/courts and render strategic legal advice for conduct of the said matters.
- Brief senior counsels/advocates to manage and co-ordinate the approach towards arbitration/litigation/other proceedings on behalf of the company.
- Manage and evaluate external counsel performance,



legal costs and litigation strategy across jurisdictions.

Legal Due Diligence relating to New Projects • Lead legal due diligence exercises for mergers, acquisitions, business partnerships, joint ventures, property transactions, financing arrangements, and strategic projects relating to its mines/business.

Management & Executive Support

- Prepare concise legal opinions, briefing notes and strategy papers for senior management.
- Respond independently to legal queries raised by senior management and board committees.
- Prepare and review Board notes, Board presentations, management memoranda, briefing papers and strategic legal updates for senior leadership.
- Present legal risk assessments and mitigation measures before leadership forums.
- Translate complex legal issues into practical business recommendations.

Team Management Capability

- Lead and mentor legal team members.
- Review legal work products prepared by team members.
- Allocate, monitor and supervise legal assignments.
- Build succession pipeline and capability within the legal function.
- Ensure timely and quality closure of legal matters.

- Ensure compliance with corporate, mining, environmental and labour laws.
- Lead and oversee the company's legal and regulatory compliance framework.
- Develop, monitor and report compliance status to senior management and the Board, wherever required.
- Advise on governance matters.
- Drive implementation of compliance policies, SOPs and governance initiatives across business functions.
- Monitor regulatory developments and assess business impact.

Digital & Analytical Skills
- Advanced proficiency in PowerPoint, Excel, Word and MS Office.
- Ability to prepare management dashboards and litigation trackers.
- Experience in legal MIS and reporting.
