Job Title: Company Secretary (CS) – Secretarial & Fund Compliance

Location: Mumbai

Employment Type: Full-time (Payroll of Affluence Advisory Private Limited)

About the Opportunity An exciting secondment opportunity with one of India's leading Private Equity Funds through Affluence Advisory Private Limited. The role offers excellent exposure to fund and investment management compliances while primarily focusing on core company secretarial responsibilities.

Key Responsibilities

Company Secretarial & SEBI Compliance

- Handling routine Companies Act, 2013 and SEBI compliances.
- Assisting in conducting Board Meetings, Committee Meetings and Shareholders' Meetings.
- Preparation of notices, agendas, resolutions and minutes.
- Maintenance of statutory registers and secretarial records.
- Assisting in ROC filings and other corporate compliance activities.
- Coordinating for director-related compliances such as DIR-3 KYC, MBP-1, DIR-8, etc.
- Liaising with practising professionals and internal stakeholders on secretarial matters.

AIF / Fund Compliance

- Support the Compliance Officer and Head of Compliance in ongoing AIF and fund compliance activities.
- Assist in regulatory compliances for AIFs, including periodic SEBI/RBI filings, regulatory reporting and maintenance of the compliance calendar.
- Compile and coordinate data/information required for regulatory filings, compliance monitoring and internal reporting.
- Support investor onboarding,



initial KYC/AML screening and maintenance of related compliance documentation.
- Coordinate with Trustees, Custodians, Fund Administrators, Auditors, Investors, Investment Teams and other stakeholders on ongoing compliance matters.
- Assist in regulatory communications, audits, policies, agreements and correspondence with SEBI, RBI and other stakeholders.

Eligibility / Who Should Apply?

- Qualified Company Secretary (ACS) who has completed the prescribed 21 months' practical training and all applicable training requirements, including CLDP.
- Minimum 1 year of hands-on AIF compliance experience after completion of the 21 months' practical training.
- Experience with an AIF, Investment Manager, PE/VC Fund or professional/advisory firm handling AIF compliances.
- Basic working knowledge of SEBI (Alternative Investment Funds) Regulations and ongoing AIF compliance requirements; exposure to Category II AIFs is preferred.
- Working knowledge of Companies Act, 2013 secretarial compliances and basic KYC/AML requirements.
- Ability to support routine compliance activities with reasonable independence and limited supervision.

Preferred Skills

- Valuable drafting and communication skills.
- Strong knowledge of the Companies Act, 2013 and SEBI regulations applicable to corporate entities.
- Attention to detail and willingness to learn.
- Proactive and collaborative approach.
