About the Opportunity

This prospect is for experienced Corporate Development and M&A; Professionals with hands-on experience managing transactions from start to finish.

You'll complete self-contained M&A; exercises using mock CIMs, diligence reports, term sheets, and board materials, producing professional deliverables that are evaluated against structured benchmarks.

Responsibilities

- Build three-statement, DCF, trading comps, transaction comps, and accretion-dilution models .
- Analyze cap tables, equity waterfalls, deal structures, and transaction economics .
- Draft and compare IOIs, LOIs, term sheets, and bid comparisons .
- Prepare management presentations, buyer universes, board decks, and committee materials .
- Conduct deal screening, diligence, synergy modeling, carve-out analysis, and integration planning .
- Develop 100-day plans, diligence request lists, findings summaries, and closing materials .

Required Qualifications

- 4+ years of experience in an in-house Corporate Development or M&A; role at an operating company.




- Hands-on ownership of live transactions from end to end .
- Strong expertise in financial modeling, valuation, transaction analysis, and deal execution .
- Ability to produce polished, board-ready corporate development materials .

Preferred Qualifications

- Previous Investment Banking or Private Equity experience before moving in-house.
- Background in Big 4 transaction advisory or financial due diligence .
- Experience with complex M&A; transactions, integrations, carve-outs, or strategic investments .
- Strong financial analysis and executive communication skills.
