Main Responsibilities
Commercial Contracts for the Asian Market
- Draft, review, and negotiate Sales Terms & Conditions and customer contracts.
- Draft, review, and negotiate Purchase Orders, supplier agreements, and vendor terms.
- Review MSAs, NDAs, LOIs, MOUs, service agreements, lease agreements, and related commercial documentation.
- Lead contract negotiations to protect company interests while enabling business execution.
- Standardize contract templates and approval workflows in coordination with HQ.
- Identify and mitigate contractual risks (liability caps, indemnities, warranties, insurance, governing law, dispute resolution).
Operational Legal Support
- Provide day-to-day legal advisory support to Sales, Procurement, HR, Finance, and Plant Management.
- Support deal structuring and contract finalization from a legal and compliance standpoint.
- Review vendor, supplier, and infrastructure documentation for legal and commercial risk.
- Handle notices, claims, and pre-litigation documentation when required.
- Coordinate and manage external counsel
Compliance & Corporate Support for India
- Ensure compliance with applicable local laws (corporate, labor, data privacy, industry-specific regulations).
- Maintain corporate records, licenses, and required statutory documentation.
- Implement internal legal policies, SOPs, and risk mitigation guidelines consistent with HQ standards.
- Support internal and external audits from a legal perspective.
- Maintain controlled repository of contracts, templates, and confidential documentation.
- Provide periodic reporting to the CLO on material legal matters and risk exposure.
Cross-Border Coordination
- Align local Supply and Purchase Terms & Conditions with Ruhrpumpen global templates.
- Adapt documentation to local law without altering global risk allocation principles.
- Coordinate with Headquarters on international contracts and strategic matters.
Requirements
- Bachelor’s Degree in Law (LLB) required.
- 2–4 years of relevant experience in commercial or corporate law (law firm or in-house).
- Demonstrated experience drafting and negotiating commercial contracts.
- Experience in manufacturing, industrial, or supply chain environment preferred.
- Strong written and spoken English mandatory.
- Structured, pragmatic, risk-aware, able to operate independently with remote supervision.
- Strong contract drafting and negotiation skills.
- Transparent commercial judgment.
- Ability to balance risk control with operational needs.
- High integrity and confidentiality discipline.
