KEY RESPONSIBILITIES
- Draft, review and assist in execution of agreements and legal documents relating to NICDC, NICDIT and project SPVs, including SHAs, SSSAs, SSAs, MoUs, Addendums, Lease Agreements, NDAs and other contracts.
- Provide legal and contractual support to NICDC and project SPVs, including review of documents, interpretation of contract provisions and handling of legal queries.
- Drafting and Review of RFPs/RFQs, tender documents, procurement contracts and related commercial documents, and assist in contract management and issuance of notices for breach/non-compliance.
- Handle and coordinate litigation and dispute matters, including briefing counsels, reviewing pleadings and affidavits, and monitoring cases before Courts, Tribunals and other authorities.
- Coordinate with State Governments, Government agencies, consultants and other stakeholders on legal, contractual and project-related matters.
- Draft and review legal notices, replies, official communications, concept notes, D.O. letters, minutes of meetings and responses to queries from DPIIT and other Government authorities.
- Assist in Board and corporate matters, including preparation/review of agenda notes, Board proposals, circular resolutions and related documents.
- Undertake legal due diligence, compliance-related work and preparation/review of RTI and Public Grievances replies.
- Coordinate with external legal consultants and counsels, including follow-up on assignments and processing of professional fee invoices.
- Provide legal support for Government initiatives and special projects assigned to NICDC.
- Perform other legal, contractual and project-related responsibilities assigned by the Management/Reporting Officer.
MINIMUM REQUIREMENTS
- Nationality: Indian
- Age: Candidate shall not be above 32 years of age as on last date of submission.
- Academic Qualification: Should possess a regular Bachelors Degree in Law (LL.B.) from a recognized University/Institution. Post-graduate qualification/Masters Degree in Law or qualification in Contract Management will be preferred.
- Experience: Minimum 4 years of relevant experience in legal and contract management.
Experience in infrastructure sector would be desirable. Candidates having experience in drafting and reviewing project agreements, EPC/procurement contracts, shareholders/joint venture agreements and other legal documents, as well as exposure to contract management, litigation, tender/RFP review, SPV matters and coordination with Government authorities, consultants and counsels, will be preferred.
KNOWLEDGE & SKILLS
- Strong drafting and negotiation skills
- Valuable knowledge of contract law, arbitrations and relevant regulations Ability to work effectively as part of a Team
- Ability to handle multiple tasks with attention to detail
- Good communication and coordination skills
- Exposure to PPP models and infrastructure projects is desirable
DESIGNATION, REPORTING & JOB LOCATION The designation shall be “Assistant Manager - Legal & Contract Management” and the job location will be in Delhi/ NCR but may require frequent travel.
