Role Description This is a full-time, on-site Company Secretary role based in Chennai.
The Company
Secretary will manage corporate secretarial functions, including organizing board and committee meetings, preparing agendas, drafting minutes, and maintaining statutory registers and records. The role involves ensuring compliance with applicable company laws, securities regulations, and governance standards, as well as filing required returns and forms with regulatory authorities. The individual will coordinate with internal departments and external advisors on corporate actions, assist in drafting and reviewing key corporate documents and policies, and support the board and senior management with governance-related guidance.
The role also includes monitoring regulatory changes, advising on their impact, and contributing to risk management and best-practice corporate governance.
Qualifications
- Professional qualification as Company Secretary (ACS/FCIS or equivalent) from a recognized institute, with strong knowledge of corporate law, securities regulations, and governance practices.
- Experience in conducting board and general meetings, preparing minutes, and maintaining statutory records and registers.
- Skills in drafting, reviewing, and interpreting legal and corporate documents, policies, and compliance filings.
- Ability to monitor regulatory changes, assess their implications, and implement appropriate compliance processes and controls.
- Solid communication, stakeholder management, and interpersonal skills for effective interaction with board members, regulators, advisors, and internal teams.
- High level of integrity, attention to detail, and organizational skills, with the ability to prioritize and manage multiple responsibilities.
- Proficiency in MS Office and relevant secretarial/compliance software; familiarity with listed-company requirements is an advantage.
- Prior experience in multi-segment or diversified organizations, especially in Foods & Hospitality, Engineering, or Healthcare, will be beneficial.
