Role Overview We are looking for an experienced and dynamic Company Secretary & Compliance Officer to lead the organization’s corporate governance, secretarial compliance, fundraising compliance, ESOP management, and IPO/listing readiness initiatives.
The incumbent will play a critical role in supporting the organization’s strategic fundraising, governance framework, investor relations compliance, and transition towards a listed company structure. The role requires extensive interaction with the Board of Directors, investors, auditors, legal advisors, merchant bankers, consultants, and regulatory authorities.
Key Responsibilities Corporate Secretarial & Governance ● Ensure compliance with the Companies Act, 2013, Secretarial Standards, and other applicable corporate laws and regulations. ● Manage all statutory filings, secretarial records, registers, resolutions, disclosures, and governance documentation for the organization and group entities. ● Organize and manage Board Meetings, Committee Meetings, AGM, and EGM. ● Draft agendas, notices, board resolutions, meeting minutes, and governance documentation. ● Advise the Board and senior leadership on corporate governance,
compliance matters, and regulatory developments. ● Strengthen governance frameworks, internal controls, and compliance monitoring systems across the organization.
IPO & Listing Readiness ● Support end-to-end IPO preparedness and listing-related secretarial activities. ● Ensure compliance with SEBI regulations, listing obligations, and disclosure requirements. ● Coordinate with merchant bankers, legal counsels, auditors, registrars, consultants, and regulatory authorities during IPO and due diligence processes. ● Support drafting and review of offer documents, approvals, disclosures, and restructuring documentation. ● Assist in implementation of governance practices aligned with listed-company standards.
Fund Raising, Capital Transactions & ESOP Management ● Handle secretarial and regulatory compliances related to: ○ Private Placement ○ Rights Issue ○ Preferential Allotment ○ Fundraising Transactions ○ Capital Restructuring ○ Employee Stock Option Plans (ESOPs) ● Manage issuance and allotment of shares, PAS filings, shareholder approvals, and related statutory documentation. ● Oversee ESOP structuring, grant administration, vesting compliance, employee allotments, disclosures, and regulatory filings. ● Coordinate with investors, legal teams, financial advisors, consultants, merchant bankers, and valuation agencies for fundraising and equity-related transactions. ● Support cap table management, shareholder records, and investor compliance requirements. ● Ensure compliance with applicable provisions under Companies Act, SEBI regulations, FEMA guidelines,
and other regulatory frameworks relating to securities and employee stock options.
Regulatory & Legal Compliance ● Liaise with ROC, SEBI, RBI, Stock Exchanges, and other statutory authorities. ● Monitor amendments in corporate and securities laws and ensure timely implementation across the organization. ● Support compliance review of agreements, policies, and strategic business transactions. ● Ensure compliance across subsidiary and group entities.
Stakeholder Management ● Collaborate closely with leadership, finance, legal, audit, HR, and investor stakeholders. ● Support due diligence activities during fundraising, restructuring, and strategic transactions. ● Maintain high standards of confidentiality, integrity, and professional governance.
Desired Candidate Profile ● Qualified Company Secretary (ICSI) with 10–15 years of relevant experience. ● Prior experience in listed companies or organizations preparing for IPO preferred. ● Strong expertise in: ○ Companies Act, 2013 ○ SEBI Regulations & Listing Compliance ○ Corporate Governance ○ Fund Raising Transactions ○ Private Placement & Rights Issue ○ FEMA & RBI Compliance ○ Secretarial Standards ○ IPO & Listing Compliance ○ ESOP Administration & Equity Structuring ● Experience working with investor-backed or high-growth organizations preferred. ● Strong drafting, analytical, communication, and stakeholder management skills. ● Ability to work in a fast-paced and evolving business environment.
