UltraTech Cement is seeking a commercially oriented legal professional to join its Legal function as Manager - Legal, based at Worli, Mumbai.
This role offers an opportunity to work on high-impact mergers & acquisitions, strategic investments, corporate transactions, and commercial contracting initiatives that support the organization's growth agenda.
Key Responsibilities
- Support end-to-end M&A; transactions including acquisitions, divestitures, mergers, business transfers, strategic investments, and joint ventures.
- Draft, review, negotiate, and finalize transaction and commercial agreements, including shareholder agreements, supply agreements, procurement contracts, equipment purchase agreements, service contracts, NDAs, and conveyance deeds.
- Lead and manage legal due diligence exercises, identify transaction risks, and recommend mitigation measures.
- Advise business stakeholders on transaction structuring, legal implications, regulatory requirements, and deal strategy.
- Support regulatory filings, approvals, and compliance requirements across applicable laws and regulations.
- Collaborate with business, finance, tax, compliance, secretarial, HR, and operational teams to facilitate seamless transaction execution.
- Manage external legal counsel and advisors to ensure quality and timely delivery of legal support.
- Drive transaction closures, including management of Conditions Precedent (CP), Conditions Subsequent (CS), and post-closing obligations.
Desired Profile
- LL.B. from a reputed institution.
- 5-7 years of post-qualification experience.
- Experience in M&A; and corporate transactions at a leading law firm and/or a large corporate legal function.
- Strong expertise in corporate law, transaction documentation, due diligence, and commercial contracts.
- Excellent drafting, negotiation, communication, and stakeholder management skills.
- Solid understanding of regulatory and compliance frameworks.
- Commercial acumen with the ability to balance legal risks and business objectives.
- Demonstrated ability to manage multiple complex transactions simultaneously.
