Senior Global Corporate Structuring & Compliance Specialist (m / f / d)
Part-Time with Growth Potential | Fully Remote | Hourly Compensation | Start Date: By Agreement
About the Role
We are looking for a highly experienced skilled to plan, structure and oversee the ongoing management of international companies and other legal entities.
The primary focus will be India, Germany, the United States and the European Union. Depending on the business purpose, additional international and suitable offshore jurisdictions may also be considered.
The role will initially be part-time and is intended to develop into a long-term working relationship. If the cooperation is successful, the number of projects and working hours may increase up to a full-time engagement.
This is a fully remote position. Working hours can be organised largely independently, with tasks handled according to their assigned priority. The successful candidate will report exclusively to one designated member of management.
ResponsibilitiesInternational Corporate Structuring
· Analyse business requirements and recommend suitable jurisdictions, legal forms and ownership structures
· Compare new incorporations, shelf companies and existing operational companies
· Evaluate holding companies, foundations, cooperatives and other suitable legal entities
· Assess legal, tax, regulatory, banking and operational requirements
· Prepare clear cost, risk and action recommendations for management
Company Formations and Acquisitions
· Plan and coordinate international company formations and acquisitions
· Identify and conduct preliminary reviews of suitable operational or shelf companies
· Organise and oversee required due-diligence processes
· Coordinate approved projects from initial planning through completion
External Specialists and Service Providers
· Identify and select suitable lawyers, tax advisers, accountants and corporate-service providers
· Request and compare quotations and proposals
· Coordinate and monitor approved external providers
· Monitor costs, deadlines, quality and deliverables The successful candidate is not expected to personally provide every legal, tax or specialist service. The key requirement is the ability to identify when external expertise is needed,
select suitable specialists and manage their work effectively.
Ongoing Entity Management and Compliance
· Monitor important deadlines, filings, licences and ongoing obligations
· Maintain a structured overview of all companies and legal entities
· Coordinate required corporate changes
· Monitor ownership, shareholding and control structures
· Coordinate KYC, AML, UBO and sanctions checks
· Identify and escalate potential issues at an early stage
· Prepare regular weekly reports for management
Required Qualifications and Experience
· Several years of relevant professional experience in international corporate structuring, corporate law, corporate services, compliance or entity management
· Practical experience with international company formations or acquisitions
· Experience reviewing and coordinating existing operational companies
· Strong understanding of corporate governance and corporate compliance
· Ability to independently research unfamiliar jurisdictions, legal forms and requirements
· Experience managing international legal, tax and corporate-service specialists
· Understanding of KYC, AML, UBO and sanctions requirements
· Ability to present costs, risks and possible courses of action clearly and systematically
· Strong analytical, organisational and project-management skills
· High level of ownership, reliability, discretion and confidentiality
· Excellent written and spoken English
Preferred Qualifications
· Experience in India, Germany, the United States or other EU jurisdictions
· Experience with foundations, cooperatives, trusts, holding structures or offshore jurisdictions
· Experience with M&A;, corporate due diligence or operational company acquisitions
· Professional background with an international law firm, Big Four firm, corporate-service provider, multinational company or family office
· Qualification as a lawyer, Company Secretary, Chartered Accountant,
tax professional or corporate-governance specialist
· Existing international network of qualified advisers and service providers
· German language skills are an advantage but are not mandatory
Working Arrangement
· Initial part-time engagement, ideally with a capacity of approximately 20 hours per week or more
· Variable working hours and largely independent time management
· Fully remote, with candidates accepted from any location
· Hourly compensation
· Long-term cooperation with the potential to increase the workload up to full-time
· Independent management of assigned projects within defined priorities
· Paid external services may only be commissioned after prior approval
· High level of confidentiality and direct cooperation with one designated member of management

Ideal Candidate
We are looking for an experienced and internationally oriented professional who combines legal and regulatory understanding with commercial judgement and strong project-management skills.
The successful candidate should be able to independently analyse complex matters, compare suitable structures and jurisdictions, identify and arrange reviews of operational target companies, assess costs and risks, and coordinate qualified local specialists.
The role offers a high level of responsibility, clear decision-making channels and the opportunity to take on additional projects and responsibilities as the cooperation develops.
