About the Company Secretary Position
Finalsite is seeking an experienced Company Secretary to lead the statutory and corporate compliance requirements for its India entity. The successful candidate will also support Finalsite's global HR, Finance, Payroll and Legal teams by coordinating international compliance activities with external advisors and vendors.
This position will act as an important coordination point for India statutory compliance as well as selected global compliance and tax-related activities. The role requires strong attention to detail, excellent organization and the ability to communicate effectively with both Indian and international stakeholders.
Key Responsibilities
1. India Corporate Secretarial Compliance
- Ensure compliance with the Companies Act, 2013 and other applicable corporate laws.
- Manage MCA and ROC filings and maintain required corporate records.
- Maintain statutory registers and annual return documentation.
- Monitor statutory deadlines and ensure timely completion of compliance requirements.
- Identify upcoming corporate compliance requirements and proactively plan for their completion.
- Track filing deadlines to minimize the risk of delays, penalties or non-compliance.
- Maintain accurate and up-to-date corporate secretarial records.
2. Board & Shareholder Meetings
- Prepare notices and agendas for Board and Shareholder meetings.
- Prepare meeting notes, scripts, minutes, resolutions and supporting documentation.
- Identify statutory timelines applicable to Board and Shareholder meetings.
- Ensure meetings are held in accordance with applicable statutory requirements.
- Coordinate documentation before, during and after meetings.
- Ensure required approvals and signatures are obtained within appropriate timelines.
3. Director Appointments & Corporate Documentation
- Coordinate communications with directors concerning statutory and corporate matters.
- Distribute notices and follow up for signatures and required responses.
- Coordinate circular resolutions and other director documentation.
- Assist with director appointments, resignations and changes in designation.
- Ensure relevant consent and disclosure documents are collected and properly executed.
- Coordinate documents such as DIR-2, MBP-1 and DIR-8 where applicable.
4. MCA / ROC Filings
- Handle statutory filings required by the Ministry of Corporate Affairs (MCA).
- Coordinate applicable filings with the Registrar of Companies (ROC).
- Ensure filings are completed accurately and within prescribed deadlines.
- Maintain appropriate supporting documentation for statutory submissions.
- Proactively monitor filing calendars and compliance schedules.
5. External Advisors & Global Stakeholders
- Coordinate with auditors, legal counsel, external Company Secretaries and consultants.
- Work closely with global HR, Finance, Payroll and Legal teams.
- Coordinate international compliance matters with external advisors and vendors.
- Communicate effectively with global stakeholders and senior leadership.
- Support cross-functional compliance projects as required.
6. Legal & Administrative Support
- Provide general administrative and operational support to the Legal team.
- Assist with corporate documentation and compliance-related projects.
- Manage multiple priorities while maintaining accuracy and attention to detail.
- Support the organization in maintaining strong corporate governance practices.
Required Qualifications
- Qualified Company Secretary (CS).
- Associate or Fellow Member of the Institute of Company Secretaries of India (ICSI).
- Valid ICSI Membership Number with ACS/FCS status.
- 4–6 years of relevant post-qualification experience.
- Strong knowledge of the Companies Act, 2013.
- Strong practical knowledge of MCA/ROC filings and statutory compliance.
- Valuable understanding of corporate governance requirements.
- Experience coordinating with auditors, legal firms and professional consultants.
- Excellent verbal and written communication skills.
- Ability to work effectively with international stakeholders.
- Strong organizational and stakeholder-management skills.
- Strong problem-solving and prioritization abilities.
- Proficiency in Microsoft Office and Google Workspace.
- Experience working with multinational organizations is desirable.
- Ability to work independently and manage multiple priorities in a fast-paced environment.
Work Schedule & Remote Working
Remote, India | Full-time Employment Finalsite offers a fully remote working arrangement for this role. Candidates should be comfortable working within the company's established collaboration hours.
Working Hours: 11:30 AM – 8:30 PM IST
Core Collaboration Hours:
6:30 PM – 8:30 PM IST
Because Finalsite operates globally, the ability to collaborate effectively with colleagues and stakeholders across different time zones is an key part of the position.
India Residency Requirement
The position is available to permanent residents of India only. Although Finalsite provides 100% remote employment opportunities, current residency and continued residency within India are required to obtain and retain employment in this position.
Ideal Candidate Profile
The ideal candidate will be a qualified Company Secretary with substantial post-qualification experience in corporate secretarial and statutory compliance functions. Candidates should be comfortable managing MCA/ROC filings, statutory registers, Board and Shareholder meeting documentation, director-related compliance and corporate governance matters.
Experience working with multinational organizations can be particularly valuable because this position involves regular interaction with international teams, external advisors and senior stakeholders.
