Minimum Qualifications

- Bachelor of Laws (or equivalent)

Minimum Experience A minimum of 10+ years PQE working as an in- house legal counsel preferably for a construction and/or mining services company.

Leighton India Legal Counsel key responsibilities include:

Tendering Support -

- Contract Reviews / Contract Risk Assessment - review tender conditions and draft contracts to identify all key risks, terms and conditions outside Work Procurement Standard and recommend appropriate risk-treatments.
- Tender Contract Formation - drafting contracts, amendments and qualifications, supporting negotiations and managing execution formalities – ensure that all contracts clearly, unambiguously and comprehensively deal with all obligations of all parties, all entitlements of Leighton India and the allocation of all risks in the contract document. Contracts include Head Contracts, Pre-Bid Agreements / MOU’s, Joint Venture Agreements, NDA’s, Direct Agreements, PCGs etc.
- External Legal Advisers - Engage and manage (including costs)
- Managing internal legal approvals

Ethics and Compliance - supporting the Business Unit’s staff to understand the Group code of Conduct and associated policies and procedures; investigations and reporting. Such further tasks and responsibilities as identified by the Business from time to time

Ensure that all communication is effective (from the perspective of the recipient), including ensuring:

- the most appropriate method of communication (eg. verbal, email, letter, memorandum, presentation);
- a logical structure;
- clear and concise wording (simplified drafting);




- that there are no inconsistencies, cross-reference errors, incorrect defined terms; and
- that the communication is complete and contains accurate information.

Tender / Contract Reviews

1. Ensure that, with respect to all tenders and draft contracts reviewed by them:

- Leighton India management understands all material risks and opportunities in the proposed contract and have been provided with clear risk mitigation strategies (including contract deviations, price, schedule, insurance, subcontracting strategies etc);
- the Contract Risk Assessment accurately reflects the risk allocation of the contract and any deviations from the Work Procurement Standard, and are completed in a timely manner in the context of the particular tender; and
- when submitted to Client, tenders are consistent with all internal approvals relating to the contract terms and legal risk allocation.

Contract Drafting

1. Ensure that the terms and conditions (including the technical specifications) for all contracts drafted or negotiated by them:

- are as commercially favourable to Leighton India as possible, within the specific context of the tender and Leighton India’s other commercial interests;
- operate in all cases as Leighton India intends them to;
- are transparent, unambiguous and comprehensively deal with all obligations of both parties, all entitlements of Leighton India and the allocation of all relevant risks between the parties; and are capable of being performed by Leighton India for the contract price and within the contract schedule
