Legal Counsel – Contract Review & Management

- ADM Capability Center (ACC) – Bangalore, India

Level:

- Mid-level (6–9 years post-qualification)

Key responsibilities:

First-pass (L1) contract review:

- Perform first-pass review and redlining of various types agreements including commercial and related agreements (e.g., NDAs, MTAs, and other high-volume contract types) using ADM’s playbooks.
- Prepare a structured review record for each agreement — what changed, the basis for the position, per-clause and overall risk rating, and open items — so onshore senior counsel can adjudicate and sign off efficiently.
- Apply ADM’s standard positions and pre-approved fallback language consistently; identify out-of-playbook terms and escalate to onshore counsel (L2) with a clear summary of the issue and options.
- Meet agreed service levels for initial response and review turnaround, and keep matters moving toward execution.

NDA process management:





- Manage the NDA process end to end — intake through Onit, completeness checks, redlining, negotiation support, and tracking — as the primary point of contact for routine NDA requests.
- Handle incomplete requests, requested changes, and third-party (other-party) paper; resolve standard issues independently and escalate substantive changes to onshore attorneys.
- Maintain a complete, accurate repository (Onit) of executed NDAs and related records to support auditability and reuse.
- Support the phased expansion of the NDA model beyond the U.S. (EMEA and APAC) as scope and volume are defined.

Workflow, quality & continuous improvement:

- Use the legal workflow system (Onit) to receive, route, track, and report on matters; help triage and assign work as volume grows.
- Monitor quality and the L2 override rate; use feedback to refine playbooks and reduce rework over time.
- Partner with onshore attorneys and legal operations to review, validate, and tighten playbook positions before they go live.
- Contribute to a shared, governed Skills library that drives standardization and consistency across the team.
- Identify additional high-volume or lower complexity work suitable for the ACC + AI model and support onboarding of new contract types.
- Champion human-in-the-loop discipline — every AI-suggested edit is reviewed, accepted, or rejected by a qualified reviewer.

Required qualifications:

- Law degree (LLB/JD or equivalent) and qualification/admission to practice in a relevant jurisdiction.




- 5+ years of post-qualification experience reviewing and negotiating commercial contracts and NDAs, ideally in-house or in a corporate/commercial practice.
- Strong working knowledge of common commercial clauses, risk, and standard fallback positions; sound judgment on when to escalate.
- Excellent written English, attention to detail, and the ability to produce transparent, well-documented review records.
- Comfort working with technology and AI-assisted tools; proficiency with Microsoft Word (tracked changes) and legal workflow/CLM systems.
- Ability to manage a high-volume queue independently, prioritize, and meet service-level turnaround targets.

Preferred qualifications:

- Experience supporting a captive/shared-services or capability-center legal function, or a legal operations environment.
- Familiarity with contract lifecycle tools (e.g., Onit) and e-signature (e.g., DocuSign).
- Exposure to legal AI, prompt-based tools, or building templates/playbooks/knowledge assets.
- Experience across multiple regions (U.S., EMEA, APAC) or with cross-border agreements.

Working conditions:

- Based at the ADM Capability Center in India. Some overlap with U.S. business hours is expected to coordinate with onshore counsel and stakeholders.
